1. Incorporation

合併

These Uber One Terms and Conditions ("Uber One Terms") govern your purchase and use of Uber One and are expressly incorporated into and made a part of Taiwan Rides Terms, Uber Eats Terms, Uber Privacy Notice, and Uber’s Community Guidelines (collectively the “Uber Terms”). In the event of any conflict between these Uber One Terms and the Uber Terms, these Uber One Terms shall govern as applied to the subject matter herein. Subject to the foregoing, undefined, capitalized terms in these Uber One Terms will have the meaning set forth in the Uber Terms.

本Uber One條款與條件（「Uber One條款」）規範您購買與使用Uber One，並且明示地被併入Uber 使用者條款與條件、Uber Eats 使用者條款與條件、Uber隱私權聲明與Uber社群指引（以下合稱「Uber條款」）。若Uber One條款與Uber條款內容有衝突，本Uber One條款應優先適用於其所規範的事項。依據前述規範，本Uber One條款中未定義之大寫名詞皆與Uber條款中所載有相同意義。

By purchasing an Uber One (the “Uber One”) you agree to these Uber One Terms, as well as any other specific terms of the offer you received (the “Offer”) in-app or by email, which may include important details and restrictions, including, but not limited to, where and when an Uber One may be used, the Billing Rate, Uber One Benefits (as defined below), and the billing interval (the “Billing Cycle”). Please refer to your Offer for details before purchasing an Uber One.

一旦您購買Uber One（「Uber One」），您即同意本Uber One條款之內容，且同意其它您透過應用程式內或電子郵件收到之優惠（「要約方案」）相關的特定條款，而此等特定條款可能包含重要細節與限制，包括但不限於Uber One可使用的時間與地點、費率與Uber One優惠（定義如後）及收費週期(「計費週期」)。在購買Uber One前，請參考您所收到之要約方案所載細節。

Uber Portier B.V. is a technology company which provides mobile applications for you to connect to: (i) Merchants to order food, beverages, groceries and other items (“Items”), and (ii) Uber Portier Taiwan Co. Ltd. (“Uber Portier Taiwan”) or Merchants to request for delivery services. Uber B.V. is a technology company which provides mobile applications for you to arrange and schedule transportation services with the licensed fleet partners (Merchants and the licensed fleet partners are each known as “Third Party Provider”).

Uber Portier B.V.為一科技公司，透過其所提供的手機應用程式，讓您可以：(i) 連接商家合作夥伴以訂購餐食、飲料、雜貨或其他商品（「商品」）及 (ii) 連接優食台灣股份有限公司(「優食台灣」)或商家合作夥伴以請求外送服務。Uber B.V.為一科技公司，透過其所提供的手機應用程式，讓您可以安排使用合法登記之合作車隊所提供之交通運輸服務（商家合作夥伴及合法登記之合作車隊夥伴分別稱為「第三方供應商」）。

Uber (as defined below) is not a provider of Items and/ or transportation services. Uber is also not a provider of delivery services when you request delivery services from a Merchant. As such, all benefits and promotions offered under Uber One are offered on an "as available" basis and contingent upon Third Party Providers’ availability to provide the Items, transportation services, delivery services (where applicable) and other contingencies which may impact the availability of some benefits at certain times and places. Uber One is provided in connection with use of the Uber Eats App and/or the Uber App (together, the “Uber Apps”) licensed solely to you by Uber Portier B.V or Uber B.V. respectively.

Uber（定義如下） 並非商品及／或交通運輸服務之供應商。當您向商家合作夥伴請求外送服務時，Uber 亦非外送服務之供應商。因此，依Uber One提供之所有優惠皆在「可行性」的基礎上提供並取決於第三方供應商是否有能力提供商品、交通運輸服務、外送服務（如適用）以及其他在特定時空下可能影響優惠可行性的偶發因素而定。Uber One係透過使用 Uber Eats 應用程式及/或 Uber 應用程式提供，Uber Eats 應用程式及 Uber 應用程式（統稱「Uber Apps」）係分別由Uber Portier B.V.及Uber B.V.所授權予您個別使用。

2. Uber One

Uber One

Uber One is a paid service offered by Uber Portier Taiwan and/or affiliates (“Uber” or “We”) in conjunction with the Third Party Providers which in return for the payment of a recurring subscription fee, grants you special promotions and benefits in relation to the services/goods provided by Uber Portier Taiwan (for delivery services) and/or Third Party Providers (for Items, transportation services and delivery services, where applicable) in specific geographic areas in Taiwan (“Uber One Benefits”). Please refer to the Offer on the geographic areas in Taiwan which Uber One Benefits apply.

Uber One是由優食台灣及/或關聯公司(以下合稱「Uber」或「我們」)聯合第三方供應商提供的付費服務；透過給付定期訂閱費用的方式，就優食台灣（就外送服務）及/或第三方供應商（就商品、交通運輸服務及外送服務，如適用）提供的服務/商品，在台灣特定地理區域提供給您的特別促銷與優惠（「Uber One優惠」）。請參考要約方案所載在台灣地理區域Uber One優惠適用的地區範圍。

The details for the applicable promotions (and any applicable limitations) shall be set forth in your Offer and stated to you when you sign up for Uber One, including but not limited to the recurring billing rate for Uber One (“Billing Rate”). Uber One Benefits may be subject to applicable limitations including, for example, a minimum order subtotal requirement for Items, selected merchants on Uber Eats App, and/or are not applicable for certain Items or services of Third Party Providers, including the Uber Taxi product. Uber One Benefits are subject to Third Party Providers’ and Uber Portier Taiwan’s availability and acceptance of requests for services/Items in your geographic area. It should be understood that with the exception of the supply of discounted delivery by Uber Portier Taiwan under the Uber One Benefits, Uber does not provide transportation services, or supply discounted Items but instead, as part of the pricing benefits accorded under the Uber One Benefits, pay these amounts to Third Party Providers’ on behalf of the user as third party payments. The foregoing sentence does not apply to delivery services which you purchase by Merchant Delivery. In those cases, the Uber One Benefits will be provided by those Merchants as a discount of the delivery services provided by the Merchants.

詳細的促銷活動（以及任何適用的限制）均載明於您的要約方案中，並在您訂閱Uber One時向您提供說明，包括但不限於Uber One定期的費率（「費率」）。Uber One優惠可能會受到條件限制，例如商品的最低訂購總價、Uber Eats應用程式特定的商家合作夥伴，及/或不適用於第三方供應商的特定商品或服務，包含優步小黃產品。Uber One優惠受限於第三方供應商以及優食台灣在您的地理區域內對商品/服務的供給可行性及其是否接受所提出的商品/服務需求。請理解，除優食台灣於Uber One優惠下所提供之外送折扣外，Uber並沒有提供交通運輸服務，也不提供打折商品；而是依據Uber One優惠而提供的價格優惠，以第三方支付方式將這些金額代用戶給付給第三方供應商。前述條款不適用於您透過商家外送所購買的外送服務。在這些情況下，Uber One 優惠將作為商家合作夥伴所提供之外送服務的折扣而由這些商家合作夥伴提供。

Uber may offer Uber Cash credits as part of any promotion or appeasement during the term of your Uber One membership. Uber Cash means the credits provided or gifted to you by Uber or any other third party and issued by Uber as a gesture of goodwill. Uber Cash is non-refundable, non-transferable, and non-redeemable for cash or to an alternative payment method and will be subject to the expiration date set out in any specific terms and conditions provided by Uber and communicated to you by Uber via the Uber Apps, website or, if applicable, on any physical or digital material.

在您的Uber One會員有效期內，Uber可能會提供Uber Cash點數，以作為任何促銷或補償政策的一部分。Uber Cash是指Uber或任何其他第三方提供或贈與給您，並由Uber作為善意表示而發放的點數。Uber Cash不可退還、不可轉讓、不可兌換為現金或其他付款方式，並且將受限於由所Uber提供，並由Uber透過Uber Apps、網站或任何物理或數位資料向您傳達的特定條款及條件中所規定的到期日所拘束。

For the avoidance of doubt, Uber One is separate from any Uber’s promotions in Taiwan.

為避免疑義，Uber One是Uber在台灣的促銷優惠以外，另外推出的獨立方案。

By participating in Uber One, you are agreeing to these Uber One Terms. If you do not agree to these Uber One Terms, please do not participate in Uber One.

您參加Uber One，即表示您同意本Uber One條款。如果您不同意本Uber One條款，請不要參加Uber One。

3. Duration and Frequency of Charges

計費期間與週期

When you purchase Uber One, you'll be charged the Billing Rate by Uber Portier Taiwan for your first Billing Cycle on the date of purchase, which activates Uber One for the term set forth in your Offer. Unless you cancel, you'll be charged at the Billing Cycle stated in your Uber One Offer on or around the initial purchase date on your selected payment method. BY DEFAULT (AND WITH PRIOR NOTICE TO THE EXTENT REQUIRED BY APPLICABLE LAW), YOUR UBER ONE WILL AUTOMATICALLY RENEW AT THE BEGINNING OF EACH BILLING CYCLE, AND THE BILLING RATE WILL BE AUTOMATICALLY CHARGED TO YOUR SELECTED PAYMENT METHOD (OR OTHER PAYMENT METHOD IN YOUR UBER WALLET). If you do not want Uber One to automatically renew, you can cancel your subscription in accordance with Section 4 below.

當您訂購Uber One時，您將會於訂購日被優食台灣收取第一個計費週期之費率，並在您要約方案所訂之有效期限內啟動Uber One。除非您取消，否則我們將依照您所選擇的付款方式，於您的最初購買日期當天或前後，以您的Uber One要約方案所載之計費週期收取費用。透過預設功能（並依適用之法律要求範圍內，於事前通知），您的Uber One將會在每次計費週期開始時自動更新，並且依照您選擇的支付方式（或任何您Uber錢包中所存之付款方式）自動進行費率扣款。如果您不希望自動更新Uber One，您可以依據以下第4條規定取消您的訂購。

The Billing Rate for Uber One is inclusive of value-added tax. If any deductions or withholdings are required by law to be made from any amounts payable by or on behalf of one party to the other party under these Uber One Terms, the paying party shall be obligated to pay to the receiving party such amount as will, after the deduction or withholding has been made, leave the other party with the same amount as it would have been entitled to receive in the absence of any such requirement to make a deduction or withholding.

Uber One費率包含加值型營業稅。若法律要求一方須代他方扣除或扣繳其依據本Uber One條款所應收取之金額，付款方有義務在扣除或扣繳後，使收款方取得如同無扣除或扣繳義務下所可取得之金額。

If your selected payment method is declined, Uber Portier Taiwan will prompt you for a new payment method but reserves the right to terminate any unpaid periods in your Uber One with no further charges to you. Uber may also automatically retry failed payments periodically over the course of your Billing Cycle to help you get back to enjoying the benefits of your membership and/or may attempt to charge another payment method in your Uber Wallet. Uber is not responsible for any fees charged by the cardholder's bank including, but not limited to, overdraft fees, insufficient funds fees, interest charges, foreign exchange fees, cross border fees, and other penalties levied by the cardholder's bank.

如果您選擇的付款方式遭到拒絕，優食台灣將會提示您選擇新的付款方式，但優食台灣也保留針對您尚未付款的Uber One計費週期，不進一步向您收取費用而終止該未付款期間之權利。Uber 得在您的計費週期內定期自動重試失敗的付款，以幫助您重新享受會員優惠及/或得嘗試透過其他您Uber錢包中所存之付款方式向您收款。Uber就持卡人銀行請求收取之任何費用不負責任，包括但不限於，透支費、資金不足費、利息、外匯交易費、跨境交易費，以及持卡人銀行所課之其他罰款。

4. Cancelling Uber One

取消您的Uber One

You may cancel Uber One within the Uber Apps up to 48 hours prior to your next scheduled payment to avoid further charges. To do this, go to the applicable Uber One section in the Uber Apps that you purchased Uber One in and select “Manage Membership.” Select the option for “End membership” and then confirm your wish to cancel your subscription. If you are less than 48 hours prior to your next scheduled payment, contact support to cancel.

您可以在下一次預訂付款日之前48小時前，於Uber Apps內取消您訂閱的Uber One，以避免額外費用之產生。為此，請到您訂購Uber One時所使用的Uber Apps，點選「管理會員資格」，再選取「中止會員資格」，並確認您欲取消Uber One之訂閱即可。如果距離您下一次預定付款日前不到 48 小時，請聯繫客服以取消。

If you cancel Uber One, you will still have access to your Uber One Benefits until the end of your current Billing Cycle. Provided however, if you select the option for “End membership” in the Uber Apps during a free trial period and cancel your Uber One subscription, then your access to your Uber One Benefits will end upon such cancellation. Except for the circumstances set out in Article 19 of the Consumer Protection Law of the R.O.C. (Taiwan), all payments are non-transferable and we will not refund partially used Billing Cycles. Please use help.uber.com to report any unauthorized charges within 60 days. Uber is not responsible for overdraft fees that may be incurred.

如您取消Uber One，在當時之計費週期結束以前，您仍然可以享有您的Uber One優惠。然而，如果您在免費試用期內於Uber Apps中選取「中止會員資格」並取消Uber One的訂閱，您的Uber One優惠將在取消後立即終止。除了中華民國（台灣）消費者保護法第19條所載之情形外，所有費用都是不可轉讓的，我們不會就已部分使用的計費周期退款。如有任何未經授權而收費的情形，請在60天內使用help.uber.com告知。但Uber對於可能產生的透支費不負責任。

5. Pausing Your Uber One Membership

暫停您的Uber One會員資格

Occasionally, you may want to pause your membership. Pausing your membership is a great way to take a temporary break and easily resume your Uber One Benefits without the hassle of signing up again.

有時，您可能想暫停會員資格。暫停會員資格可讓您暫時休息一下並無需再次訂閱即可輕鬆恢復您的Uber One優惠。

Under certain circumstances, you may be able to pause your Uber One Membership for a specific time period (“Paused State”) if you are not on a free trial or a partner-sponsored Offer at the time of the pause. When you pause your subscription, your Paused State will begin once your current Billing Cycle ends. Once your Paused State expires, your recurring payment will resume and your Uber One Membership will automatically renew for the next Billing Cycle. You must pause at least 48 hours before your scheduled payment to avoid being charged for the next Billing Cycle.

在某些情形下，若您在暫停時未享受免費試用或合作夥伴贊助的要約方案，您可能可以在特定期間内暫停您的Uber One會員資格 (「暫停狀態」)。當您暫停訂閱時，系統會在您目前的計費週期結束後開始進入暫停狀態。暫停狀態到期後，系統會恢復向您定期收取費用，且您的Uber One會員資格會於下一個計費週期自動續訂。您必須在預訂付款日前至少 48 小時暫停，以免於下一個計費週期被扣款。

You can pause your Uber One membership up to four (4) times per year. During the Paused State, you will not be charged the recurring payment and your Uber One Benefits will not apply. You also will not receive any member-specific promotions or offers.

每年您最多可以暫停四 (4) 次您的 Uber One 會員資格。在暫停狀態期間，我們不會向您定期收取費用，您的Uber One優惠也不會適用。您也不會收到任何會員專屬促銷或優惠。

6. Promotions & Offers

Notwithstanding the terms and conditions of other promotions offered by Uber or third parties, Uber may permit Uber One Benefits to be combined with other promotions.

即使Uber或第三方有提供其他促銷方案之條款與條件，但Uber得決定Uber One優惠可否與其他促銷方案合併使用。

7. Free Trial

免費試用

Uber and/or third parties on behalf of Uber may offer some users a free trial or other promotional subscriptions to Uber One. Such trial or promotional subscriptions are subject to these Uber One Terms except as otherwise stated in your Offer. Free trial and promotional subscription eligibility is determined by Uber and Uber may limit such eligibility or duration, including for the prevention of free trial abuse. Certain limitations may exist with respect to combining a free trial with any other promotions.

Uber 及/或代表Uber之第三方，可以提供若干用戶Uber One之免費試用或其他促銷訂閱方案。除您的要約方案另有約定外，該等試用或促銷訂閱方案皆受到本Uber One條款之拘束。免費試用以及促銷訂閱方案之資格將由Uber決定，而Uber可能會限制其資格或限定期間，包含防止免費試用遭到濫用。如免費試用與任何其他優惠合併使用時，可能會存在特定限制。

AT THE END OF YOUR APPLICABLE FREE TRIAL PERIOD, YOUR UBER ONE WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE BILLING RATE STATED IN YOUR OFFER AT THE BEGINNING OF EACH BILLING CYCLE UNLESS YOU CANCEL PRIOR TO THE EXPIRY OF THE TRIAL PERIOD ACCORDING TO THIS UBER ONE TERMS.

在您所適用的免費試用期結束後，除您在試用期屆滿之前依照本Uber One條款取消外，您的Uber One將會自動更新，並且將在每一個計費週期開始時向您收取要約方案所載之費率。

8. Changes to Uber One

Uber One之變更

We will provide you with prior notice (either in the Uber One section of the applicable Uber Apps, in app or via email or other methods) of material and substantial changes to the Uber One Benefits, Billing Rate or these Uber One Terms. Unless otherwise stated in the notice, all changes will be effective upon your next Billing Cycle and your continued use of Uber One constitutes your acceptance of such changes. If you are not willing to agree to the changes, you may cancel your Uber One in accordance with Section 4 above.

如Uber One 優惠、計費費率或本Uber One條款有重大且實質變更，我們會（透過適用的Uber Apps中Uber One章節、應用程式內建或電子郵件或其他方式）提前通知您。除通知中另有說明外，所有變更將在您的下一個計費週期生效，您繼續使用Uber One將表示您接受該變更。如果您不同意該等變更，您可以依據上述第4條取消您的Uber One。

Uber may terminate your Uber One. If that happens, Uber Portier Taiwan will give you a pro-rated refund based on charges already applied to your current Billing Cycle. We will not give any refund for termination related to conduct that we consider to be a violation of these Uber One Terms, any applicable law, or involving fraud or misuse of the Uber One.

Uber可能會終止您訂購的Uber One。如果發生這種情況， 優食台灣將會依據您當時計費週期已發生之費用，按比例退款給您。如果Uber One之終止是有關我們認為違反本Uber One條款或任何適用之法令，或者涉及詐欺或與不當使用Uber One之行為者，我們將不予退款。

9. Transfer of Rights

權利之轉讓

Uber's rights and obligations under Uber One may be assigned or transferred by Uber to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity. Your Uber One may not be transferred or assigned.

Uber可隨時將Uber在本方案下之權利與義務，予以指派或轉讓給其他任何相關或不相關之實體，並由該實體負履行責任。但是您的Uber One不得轉讓或指派。

10. Interpretation of Uber One Terms

Uber One條款之解釋

Subject to the Taiwan Consumer Protection Act, all interpretations of these Uber One Terms will be at Uber's discretion and Uber's decision will be final.

在符合台灣《消費者保護法》之前提下，對於Uber One條款之所有解釋，將由Uber自行決定並擁有最終決定權。

11. Disclaimer

免責聲明

Uber One and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. We are not responsible for any unavailability, interruptions or errors of Uber One or its features. Uber may from time to time request information from you to confirm your identity before renewing your Uber One. Uber may delay your access to Uber One until you comply with this information request. Uber One and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of Uber One, the information, materials, content, availability, and products. Uber One and these Uber One Terms are provided by Uber and do not modify the contractual relationships among or between the individuals and entities that use Uber’s technology to offer goods or services, and Uber or any Uber affiliates, except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties or merchantability and fitness for a particular purpose.

基於各種原因，Uber One及/或其任何功能可能不時發生無法使用、不正確或中斷的情形。我們並不對Uber One或其功能發生無法使用、中斷或錯誤之情形負責任。Uber可能會不定期地要求您提供相關資訊，以在您更新Uber One前確認您的身份。在您符合資訊要求之前，Uber可能會延後您使用Uber One之權限。Uber One及透過Uber One可取得之所有資訊，僅供參考之目的並於「現存的」及「現可提供」之基礎上提供。我們，以及我們的資訊提供者及其代理人，就Uber One之運作、資訊、素材、內容、可使用性及產品，不提供任何形式上、明示或默示之保證、陳述或擔保，包括但不限於準確性、即時性或完整性。Uber One與Uber One條款係由Uber所提供，除本Uber One條款另有明示規定外，不修改任何個人或主體因使用Uber科技提供商品或服務而發生，存在於與Uber或任何Uber關聯企業的契約關係。在適用法律所允許的最大範圍內，我們不負任何明示或默示之擔保責任，包括但不限於默示之保證、適銷性及符合特定目的性。
