Uber Health GPO Addendum to the Uber Health General Terms and Conditions - United States of America

This Uber Health GPO Addendum (the "GPO Addendum”) to the Uber Health General Terms and Conditions (the “General Terms” or “Terms”) is entered into by and between the company identified within the Uber Health sign-up process (“Company”) and Uber Health, LLC, a Delaware corporation (“Uber Health”). This GPO Addendum sets forth the terms and conditions upon which Company may use any and all Health Product(s). Undefined, capitalized terms used herein shall have the meaning ascribed to them in the General Terms or in a respective, applicable Product Addendum. In the event of any conflict between the terms of the General Terms and this Product Addendum, the terms of this GPO Addendum shall govern. Company’s use of the Health Products is subject to this GPO Addendum, as may be modified or updated by Uber Health as set forth in the General Terms.

1. DEFINITIONS. 

The following terms, as may be used in this GPO Addendum, shall have the meanings set forth below:

1.1. “GPO” means a group purchasing organization, which has negotiated certain terms and conditions on behalf of its GPO Member(s).

1.2. “GPO Agreement” means a valid, fully executed agreement between GPO and another party.

1.2.1. Vizient. For the purposes of this GPO Addendum, the GPO Agreement between Uber and Vizient is “Vizient-Uber Health GPO Agreement #SV8080.”

1.2.2. Premier. For the purposes of this GPO Addendum, the GPO agreement between Uber and Premier is “Premier-Uber Health GPO Agreement # PP-SV-428.”

2. PROVISION OF SERVICES TO COMPANY.

2.1. Access to Health Products. Uber Health will enable Company to access and use the Health Products pursuant the Terms. Notwithstanding, in the event of a conflict between the Terms and an applicable GPO Agreement, the terms of the applicable GPO Agreement will control.
