1. Contractual Relationship
Save for Terms unique to Taiwan, these Terms of Use ("Terms") govern the access or use by you, (“You”) an individual from within any country in the world (excluding the United States and its territories and possessions) of applications (including the Uber Eats App), websites, content (collectively, the “App”) for the purposes of using the Uber Eats platform (the “Access Services”), made available by: Uber Portier B.V. (“UPBV”), a private limited liability company established in the Netherlands, having its offices at Burgerweeshuispad 301, 1076 HR, Amsterdam, the Netherlands, registered at the Amsterdam Chamber of Commerce under number 56317441.
The Terms also govern the request for delivery services made by you through the Uber Eats platform (the “Delivery Services”). Delivery Services may be provided to you by Uber Portier Taiwan Co. Ltd. (“Portier Taiwan”) (“Uber Delivery Services”) or by Merchants (“Merchant Delivery”). Portier Taiwan will let you know when your order will be fulfilled by Merchant Delivery. To avoid doubt, Uber Delivery Services do not include the delivery component where you have chosen Merchant Delivery and Uber Delivery Services do not include Merchant Delivery.

In these Terms, UPBV and Portier Taiwan, are collectively referred to as “Uber” or “We”, and, the Access Services and Delivery Services, are collectively referred to as the “Services”.
PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
Your access and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and Uber. If you do not agree to these Terms, you may not access the Services. These Terms expressly supersede prior agreements or arrangements with you.
Supplemental terms may apply to govern policies for a particular event, activity or promotion etc., and such supplemental terms will be disclosed to you in connection with the applicable event, activity or promotion. Supplemental terms are in addition to, and shall be deemed a part of, the Terms for the purposes of the applicable event, activity or promotion. Supplemental terms shall prevail over these Terms in the event of a conflict with respect to the applicable event, activity or promotion.
Modification
Uber may amend the Terms, any policies or supplemental terms (including but not limited to the Community Guidelines and the Uber Cash Terms) related to the Services from time to time. Uber will provide you with at least 2 days notice through a posting on its website, email or the notification function of the App, in the event of a material change to any Terms, policies or supplemental terms that detrimentally affects your rights under these Terms. Amendments will be effective upon Uber’s posting of such updated Terms at this location or the amended policies or supplemental terms on the applicable Service. If you do not agree to any proposed changes or amendments to the Terms you may terminate these Terms at any time in accordance with section 8. Your continued access or use of the Services after such posting, or after the expiry of the notice period (whichever is later), constitutes your consent to be bound by the Terms, as amended.
“Community Guidelines” means the Uber’s community guidelines policy available at https://www.uber.com/legal/en/document/?name=general-community-guidelines&country=taiwan&lang=en (as amended by Uber from time to time).
“Uber Cash Terms” means the Uber Cash Terms of Use available at https://www.uber.com/legal/en/document/?name=uber-cash-terms-of-use&country=taiwan&lang=en (as amended by Uber or its affiliate from time to time).
Personal Information
Uber may provide to a claims processor, regulator or an insurer any necessary information (including your contact information) if there is a complaint, dispute or conflict, which may involve you, a Merchant and/or a delivery partner and such information or data is necessary to resolve the complaint, dispute or conflict.

PCI DSS Compliance
Uber is compliant with and shall remain compliant with the Payment Card Industry (PCI) Data Security Standards to the extent that we (or our Affiliates) possess or otherwise store, process or transmit your payment instrument data or other data which is subject to PCI obligations.

補充條款可能適用於規範特定事件、活動或優惠之政策,且我們會向您揭露前開補充條款及其所適用之相關事件、活動或優惠。就適用的事件、活動或促銷而言,補充條款是本條款的補充,且應被視為本條款的一部分。若與適用的事件、活動或優惠發生衝突,補充條款應優先本條款適用。
修訂
Uber 可能不時修訂本服務相關的本條款、任何政策及補充條款(包括但不限於社群指引及Uber Cash 點數條款)。若任何本條款、政策或補充條款之重大變更將嚴重影響您於本條款下享有之權益時,Uber將透過網頁、 電子郵件或是應用程式推播功能發布內容以提供您至少二(2)日之事前通知。前開變更將於Uber於此處發布更新之本條款、或於適用本服務發布變更之政策或補充條款時生效。若您不同意本條款任何擬修訂或新增之處,您可以依據第8條隨時終止本條款。您於發佈更新條款後或於通知期限屆至後繼續存取或使用本服務(以較後發生者為準),即表示您同意接受經變更之本條款拘束。
「社群指引」指優步社群指引,提供於https://www.uber.com/legal/en/document/?name=general-community-guidelines&country=taiwan&lang=en (由Uber不定時修正)。
「Uber Cash 點數條款」指Uber Cash 點數使用條款,提供於https://www.uber.com/legal/en/document/?name=uber-cash-terms-of-use&country=taiwan&lang=zh-tw(由Ube或其關聯企業不定時修正)。
個人資訊
若有涉及您、商家合作夥伴及/或外送合作夥伴的投訴、爭議或衝突,且各該資料或資訊為解決投訴、爭議或衝突所必要,則 Uber 可向索賠處理商、主管機關或保險商提供任何必要資訊(包括您的聯絡資訊)。

遵守支付卡產業資料安全標準
於我們(或我們的關聯企業)持有或以其他方式儲存、處理或傳輸您的支付工具數據或受支付卡產業義務約束的其他數據的範圍內,Uber符合並將持續遵守支付卡產業資料安全標準。
2. Using the Services.
The Uber Eats platform is (i) a technology platform that connects you to merchants (“Merchant”) to order food, beverages, or other items (“Items”) and (ii) the platform through which Portier Taiwan or Merchants provide for delivery of Items to you.
- Once you have been provided access to the App solely by UPBV, you may place orders for Items. You may request that Items be delivered. You may also place orders for Items via the App which do not require the use of Delivery Services (as set out in Clause 5 below).
- Where you request Items to be delivered, the Delivery Services will be provided to you by Portier Taiwan or the Merchant and you will be charged directly by Portier Taiwan or the Merchant for those Delivery Services.
- Where you choose to use the Uber Delivery Services, Portier Taiwan will endeavour to deliver your Items to you as soon as reasonably possible. Portier Taiwan will request an independent contractor who intends to perform on-demand delivery services on Portier Taiwan’s behalf using the Uber App (a "Delivery Partner") to collect Items from Merchant and deliver such Items to you. Delivery Partners’ responsibilities include delivering items from Merchants to you in a professional manner with due skill, care and diligence whilst complying with applicable laws, regulations and guidelines, including any requirements on food safety in Taiwan.
- You will be provided with an estimated time or range of time how long a delivery will take before you place the order. Unfortunately, independent factors such as traffic and weather, as well as the actions or inactions of Merchants or Delivery Partners may cause delays in the provision of delivery services. Estimated time or time range function may not be available for Merchant Delivery.
- Uber Delivery Services are offered in designated regional areas as communicated via the Uber Eats App from time to time (“Uber Delivery Service Area”). Portier Taiwan does not guarantee that the Uber Delivery Services will be available in the Uber Delivery Service Area at all times.
- You may cancel your order until the Merchant has begun preparing your Items. Once the preparation has begun, you will no longer be able to cancel and you will be charged full price by Portier Taiwan (on behalf of Merchants) for your ordered Items. If you cancel your order after the delivery has begun, you will also be charged full price for Delivery Services.
- If Delivery Services fail for reasons attributed to you (for example, you did not answer when your Items were delivered to you) you may be charged full price for both Items and Delivery Services.
- If the Delivery Services are cancelled for any reason not attributed to you, you will be entitled to a refund for any amounts paid.
With the exception of Uber Grocery Taiwan Co. Ltd who may act as a Merchant, neither UPBV, Portier Taiwan, nor its affiliates in Taiwan are an Item selling or preparation entity, and are not responsible for the following obligations of Merchants:
- Merchants are responsible for fulfilling and delivering (where the Merchant offers Merchant Delivery) orders they accept from you, preparing items to an acceptable quality and standard, and ensuring their information on the App, including information about menu items and pricing is correct;
- Merchants must obtain relevant licenses, and comply with applicable laws, regulations and guidelines, including any requirements on Item preparation, handling, packaging, safety and delivery (where the Merchant offers Merchant Delivery) in Taiwan; and
- Merchants are responsible for obtaining all applicable authorizations, consents or permissions required from any relevant parties (including, without limitation, any relevant governmental authorities) for the purpose of the selling of any Items on the App and the delivering of those Items using Merchant Delivery (where applicable).
The Services are made available solely for your personal, non-commercial use, unless Uber has agreed with you otherwise in a separate agreement.
Uber Eats operates under Uber Portier Taiwan Co., Ltd in Taiwan.
2. 使用本服務
Uber Eats是一個(1)連接您與商家合作夥伴(「商家合作夥伴」)以訂購餐食、飲品及其他商品(「商品」)之科技平台;及(2) 由優食台灣或商家合作夥伴提供商品外送予您之平台。
- 當UPBV僅提供您應用程式使用權限時,您得下訂單訂購商品。您得要求商品進行外送。您亦得透過應用程式對無需使用外送服務之商品下訂單(如本條款第5條所約定)。
- 如果您要求商品外送,則優食台灣或商家合作夥伴將向您提供外送服務,並且優食台灣或商家合作夥伴將直接向您收取這些外送服務的費用。
- 如果您選擇使用優食外送服務,優食台灣將盡力在合理的情況下盡快將您的商品外送給您。優食台灣將要求意圖使用應用程式代表優食台灣履行按需外送服務之獨立承攬人(「外送合作夥伴」)自商家合作夥伴收取商品並外送前開商品予您。外送合作夥伴的職責包含,在遵守適用法律、法規及準則之前提下(包含台灣對食品安全的任何要求),以適當的技能、謹慎和勤奮專業的態度,自商家合作夥伴外送商品給您。
- 於您下單前,我們將向您提供預計的外送時間或所需外送時間之預估範圍。惟,例如交通或天氣以及商家合作夥伴或外送合作夥伴之作為或不作為等獨立因素皆可能導致外送服務之遲延。預計時間或時間範圍功能可能無法適用於商家外送。
- 優食外送服務乃不定時透過Uber Eats應用程式於指定地區提供(「優食外送服務區域」)。優食台灣並不保證優食外送服務將始終於優食外送服務區域內提供。
- 您得在商家合作夥伴開始準備您的商品前取消訂單。準備工作一但開始,您將無法再取消,且優食台灣將代表商家合作夥伴收取您所訂購商品之全額。若您於外送開始後取消,您也將會被收取外送服務之全額。
- 若外送服務因可歸責於您而失敗(例如,當商品已被外送予您時,您未即時應門),您可能會被收取商品及外送服務之全額。
- 若外送服務被非可歸責於您之原因取消,您將有權就所支付之任何金額退款。
除了優食好物台灣股份有限公司有可能作為商家合作夥伴以外,優食台灣或其關聯企業均非商品銷售或商品準備實體,且對商家合作夥伴下列義務不負責任:
- 商家合作夥伴有義務履行和外送(若商家合作夥伴有提供商家外送)自您那所接受之訂單,準備該商品並使其具有可接受之品質及標準,且確保其在應用程式上的資訊(包括菜單品項及價格之相關資訊)正確無誤;
- 商家合作夥伴必須取得相關許可,並遵守適用法律、規定及準則,包括任何台灣對於商品準備、處理、包裝、安全及外送(若商家合作夥伴有提供商家外送)之要求;且
- 商家合作夥伴有責任自任何相關人士(包括但不限於任何相關政府機構)獲得所有適用授權、同意或許可,以出售應用程式上的任何商品及使用商家外送來外送這些商品(如有適用)。
除非Uber同意並與您另行簽約,否則您僅得使用本服務於個人而非商業用途。
Uber Eats於台灣由優食台灣所營運。
3. Terms Relating to Use of Access Services
License.
Subject to your compliance with these Terms, (i) UPBV grants you for no consideration a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the App on your personal device solely in connection with your use of the Access Services; and (ii) UPBV grants you for no consideration a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use any content, information and related materials that may be made available through the Access Services, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by UPBV and their licensors.
Restrictions.
You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Access Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Access Services except as expressly permitted by Uber; (iii) decompile, reverse engineer or disassemble the Access Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Access Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Access Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Access Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Access Services or its related systems or networks.
Third Party Services and Content.
The App may be made available or accessed in connection with third party services and content (including advertising) that UPBV does not control. Once you click on a link to third-party services or content, you will be subject to the terms and conditions and privacy policy of that website, destination, or third-party service provider. UPBV will not warn you that you have left the Access Services or that you are subject to the terms and conditions (including privacy policies) of another website, destination, or third-party service provider. You use all links in third-party websites and advertisements at your own risk as these are not part of the Access Services and are not controlled by UPBV. You acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content. UPBV does not endorse such third party services and content and in no event shall UPBV be responsible or liable for any products or services of such third party providers. Additionally, Apple Inc., Google, Inc., Microsoft Corporation or other operating system providers and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to this contract if you access the App using Applications developed for Apple iOS, Android, Microsoft Windows, or other operating system-powered mobile devices, respectively. These third party beneficiaries are not parties to this contract and are not responsible for the provision or support of the App in any manner. Your access to the App using these devices is subject to the terms set forth in the applicable third party beneficiary’s terms of service.
Ownership.
The Access Services and all rights therein are and shall remain UPBV’s property or the property of UPBV ’s licensors. Neither these Terms nor your use of the Access Services conveys or grants to you any rights: (i) in or related to the Access Services except for the limited license granted above; or (ii) to use or reference in any manner Uber’s company names, logos, product and service names, trademarks or services marks or those of Uber’s licensors.
3. 使用存取服務之相關條款

在您遵守本條款的前提下,(1) UPBV 向您授予無須報酬的、有限的、非排他性的、不可再授權、可撤銷、不可轉讓的許可,以供您僅在個人設備上存取和使用應用程式以使用本存取服務;及 (ii) UPBV授予您無須報酬的、有限的、非排他性的、不可再授權、可撤銷、不可轉讓的許可,以存取和使用可能透過本存取服務提供的任何內容、資訊和相關材料,但在各種情況下僅用於您的個人、非商業用途。於此未明確授予的任何權利均由 UPBV 及其許可方所保留。
限制。
您不得:(i) 刪除本存取服務的任何部分中的任何著作、商標或其他所有權聲明;(ii) 重製、修改、創作衍生作品、分發、許可、出租、出售、轉售、轉讓、公開展示、公開演示、傳輸、串流、廣播或以其他方式利用本存取服務(除非 Uber 明確允許);(iii) 反編譯、反向工程或拆解本存取服務(除非適用法律允許);(iv) 連結、鏡像或偽造本存取服務的任何部分;(v) 致使或啟動任何程式或腳本,以截取、索引、測量或以其他方式進行資料挖掘本存取服務的任何部分,或過度妨礙本存取服務的任何方面的營運及/或功能或加重其負擔;或 (vi) 試圖在未經授權的情況下存取或影響本存取服務的任何方面或其相關之系統或網路。
第三方服務和內容。
本應用程式可能以與不受 UPBV 控制的第三方服務和內容(包括廣告)有關的方式提供或存取。一旦您點擊第三方服務或內容的鏈接,您將受到該網站、目的地或第三方服務提供者的條款和條件以及隱私權政策的約束。UPBV不會告誡您已離開存取服務或您須遵守其他網站、目的地或第三方服務提供者的條款和條件(包括隱私權政策)。您使用第三方網站和廣告中的所有連結和廣告的風險由您自行承擔,因為這些不屬於存取服務的一部分,且不受 UPBV 控制。您確認您使用前開第三方服務和內容可能適用不同的使用條款和隱私權政策。UPBV 並未對該第三方服務和內容背書,且在任何情況下,UPBV 不對前開第三方提供商的任何產品或服務負責或承擔責任。此外,如果您使用為 Apple iOS、Android、Microsoft Windows 或由其他作業系統驅動的移動設備分別開發的應用程式存取本應用程式,Apple Inc.、Google, Inc.、Microsoft Corporation 或其他作業系統提供者及/或其適用的國際子公司和關聯企業將成為本契約的第三方受益人。前開第三方受益人並非本契約簽署方,並不負責以任何方式提供或支持本應用程式。您使用這些設備存取本應用程式時須遵守適用的第三方受益人服務條款所載的條款。
所有權。
本存取服務及其中的所有權利始終屬於 UPBV 的財產或 UPBV授權方的財產。本條款或您對本存取服務的使用均不向您轉讓或授予以下任何權利:(i) 本存取服務的權利或與之相關的權利(根據上文授予的有限許可除外);或 (ii) 使用或以任何方式提述 Uber 或其授權方的公司名稱、logo、產品及服務名稱、商標或服務標誌。
4. Your Use of the Services
User Accounts
In order to use most aspects of the App and thereafter utilise the Delivery Services (including Uber Delivery Services and Merchant Delivery), you must register for and maintain an active personal user Uber Eats account ("Account"). You must be at least 16 years of age to obtain an Account in Taiwan. If you are between 16 and the age of maturity (defined as 18 years old under the laws in Taiwan), you must have the permission of, and be directly supervised by, your parent or legal guardian to use the Services, and your parent or legal guardian must read and agree to this agreement prior to you using the Services.
Account registration requires you to submit to Uber certain personal information, such as your name, address, mobile phone number and age, as well as at least one valid payment method (either a credit card or debit card or accepted payment partner). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access or use the Services.
Account security
You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by Uber in writing, you may only possess one Account.
You should notify Uber immediately if you become aware of any unauthorised activity on your Account by contact us via the Help page which is available 24 hours a day, 7 days a week. Upon being made aware of any unauthorised use of your Account password by you, Uber will (i) immediately suspend any payment methods which you have saved to your Account and (ii) suspend any payment instructions on your Account which are made after the date you notified Uber of such unauthorised activity.
User Requirements and Conduct.
The Services are not available for use by persons under the age of 16. If you are between 16 and the age of maturity (defined as 18 years old under the laws in Taiwan), you must have the permission of, and be directly supervised by, your parent or legal guardian to use the Services, and your parent or legal guardian must read and agree to this agreement prior to you using the Services. You may not authorize third parties to use your Account. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when accessing or using the Services, and you may only access or use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Delivery Partner or any other party. In certain instances you may be asked to provide proof of identity or other method of identity verification to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity or other method of identity verification.
Text Messaging.
By creating an Account, you agree that Uber or its affiliates may contact you by telephone or commercial electronic messages (including email, SMS, push notifications, or automatic telephone dialing system where applicable) as part of the normal business operation of your use of the Services. You agree that Uber and its affiliates are not required to include an unsubscribe message in commercial electronic messages where it may be impracticable (including for push notifications). However, you may opt-out of receiving commercial electronic messages from Uber at any time by following the directions found at t.uber.com/unsub-preference. You also acknowledge that opting out of receiving commercial electronic messages may impact your use of the Services. You cannot unsubscribe from transactional messages, including order receipts and support responses. These communications are important for your experience and to comply with applicable law.
User Provided Content.
Uber may permit you from time to time to submit, upload, publish or otherwise make available to Uber through the App textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. However, by providing User Content to Uber, you grant Uber and its affiliates a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Uber’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Uber the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Uber’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Uber in its sole discretion, whether or not such material may be protected by law. Uber may, but shall not be obligated to, review, monitor, or remove User Content, at any time and for any reason, without notice to you.
Network Access and Devices.
You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and any updates thereto. UPBV and Portier Taiwan respectively do not guarantee that the App, Delivery Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
4. 使用本服務
使用者帳戶
為了使用大部分之本應用程式及使用其附隨的外送服務(包括優食外送服務和商家外送),您必須註冊一個個人使用者Uber Eats帳戶(「帳戶」)並保持帳戶有效開通狀態。在台灣,您必須年滿 16 歲以取得帳戶。若您的年齡介於16歲至成年(依台灣法律之定義為18歲)之間,您必須取得父/母或法定代理人的同意且在其直接監督之下使用本服務,且您的父/母或法定代理人必須在您使用本服務前審閱並同意本條款。
註冊帳戶時須提供Uber若干個人資訊,如姓名、地址、手機號碼和年齡,以及至少一種有效的付款方式(信用卡或簽帳金融卡或其他我們接受的付款合作夥伴)。您同意保持您的帳戶資訊準確、完整和最新。若您未能保持帳戶資訊準確、完整和最新,包括檔案中的付款方式無效或過期,均可能導致您無法存取和使用本服務。
帳戶安全
您須對您帳戶下的所有活動負責,並同意始終保持您的帳戶使用者名稱和密碼安全保密。除 Uber 另有書面許可外,您只能擁有一個帳戶。
如果您發現您的帳戶存在任何未經授權的活動,您應立即透過Uber幫助頁面https://help.uber.com/ubereats通知Uber,該頁面提供每周7天,每天24小時的服務。一旦Uber經您通知而發現有任何未經您授權而使用您帳戶密碼之行為,Uber將(i)立即暫停您綁定於您帳戶中之任何支付方式,以及(ii)暫停任何於您通知優步該未經授權活動之日期後自您帳戶發出之付款指示。
使用者要求和行為。
本服務不供未滿16歲人士使用。若您的年齡介於16歲至成年(依台灣法律之定義為18歲)之間,您必須取得父/母或法定代理人的同意且在其直接監督之下使用本服務,且您的父/母或法定代理人必須在您使用本服務前審閱並同意本條款。您不得授權第三方使用您的帳戶。您不得將帳戶出讓或以其他方式轉讓予任何其他人士或實體。您同意在使用本服務時遵守所有適用的法律,且您僅可出於合法目的(例如,不得運輸非法或有害物質)存取或使用本服務。您在使用本服務時不會對外送合作夥伴或任何其他方造成滋擾、煩擾、不便或財產損失。在某些情況下,您可能被要求提供身分證明或其他身分認證方式以存取或使用本服務,且您同意,若您拒絕提供身分證明或其他身分認證方式,您可能無法存取或使用本服務。
發送簡訊。
透過創設帳戶,您同意Uber及其關聯企業得透過電話或商業電子訊息(包含電子郵件、簡訊、推播通知或自動電話撥號系統(如有適用))與您聯繫,作為您使用本服務正常商業營運之一部。您同意Uber及其關聯企業無須在商業電子訊息(包含推播通知)附上取消訂閱之訊息,因該取消訂閱可能是不可行的。惟,您得依照t.uber.com/unsub-preference 所載之步驟隨時選擇不接收來自Uber的商業電子訊息。您尚確認前開不接收商業電子訊息可能影響您使用本服務。您不得退訂與交易相關之訊息(包含訂單收據及客服回覆)。這些通訊將對您的體驗以及遵守適用法律而言非常重要。
使用者提供的內容。
Uber 可能允許您不時透過本服務向 Uber 提交、上傳、發佈或以其他方式發送文本、音訊及/或視訊內容及資訊,包括有關本服務的評論和反饋、發送支持請求、提交競爭及促銷相關條目(「使用者內容」)。您所提供的任何使用者內容均屬於您的財產。然而,透過向 Uber 提供之使用者內容,您授予 Uber及其關聯企業 在全球範圍內永久的、不可撤回的、可轉讓的、免許可費的許可,使其有權以目前已知或隨後產生的所有形式和分銷渠道發送再許可、使用、複製、修改、衍生創作、分發、公開展示、公開演示以及以其他任何形式開發該等使用者內容(包括有關本服務及 Uber 業務與第三方網站和服務),而無須另行通知您或獲得您的同意,且無需向您或其他任何個人或實體支付費用。
您特此聲明及保證:(i) 您為所有使用者內容的唯一及獨家所有人,或擁有就上述使用者內容向 Uber 授權所必須之所有權利、許可、同意權及豁免權; (ii) 使用者內容或由您提交、上傳、發佈或以其他手段使用的使用者內容或 Uber 獲准使用使用者內容的行為均不會侵犯、侵占、或違反第三方的智慧財產權或所有權權利、公開權或隱私權,或違反任何適用的法律或法規。
您同意不提供誹謗、中傷、令人憎惡、暴力、淫穢、色情、非法或其他攻擊性之使用者內容(無論該素材是否受法律保障,且Uber有權自行認定前開內容是否構成)。Uber 可能(但並無義務)在未告知您的情況下,隨時以任何原因經自行決定審查、監控、或刪除使用者內容。
網路權限及設備。
您有責任獲取必要的資料網路權限以使用本服務。若您透過無線設備存取或使用本服務,則可能產生移動網路資料及訊息資費及費用,且您須支付該等資費及費用。您有責任獲得並更新就存取及使用本服務及本應用程式及任何更新所必需的兼容硬體或設備。UPBV及優食台灣並不保證本應用程式、本外送服務或其中任何部分將在任何特定硬體或設備上運行。此外,本服務可能會遇到使用網際網路及電子通信時固有的故障及延遲。
5. General Eaters Terms
Orders
When you place an order through the App, your order will be communicated to and processed by the relevant Merchant. Orders are subject to Merchant’s Item availability and the delivery capacity of Portier Taiwan or the Merchant (as the case may be). The contract for the supply of Items (and delivery services, where you have chosen Merchant Delivery) is formed between you and the Merchant when the Merchant accepts the order and we send you a notification of your order being accepted. You are responsible for paying for all Items ordered using your Account, and related delivery charges.
Order receipts and Transaction statements
Where you pay for your order via the App, we will notify you of your transaction (including payment) details by email or using other agreed method of communication. You may find payment details of any preceding transactions via your Account or the Uber website available for your enquiry at any time. If you require any support please reach out to our customer support via the Help page .
Wrong Order, Missing/Inaccurate/Damaged Item
If you believe that the Items that were delivered are a wrong order or there are missing, inaccurate or damaged Items in the order, please proceed to the Help page in the App and provide the relevant details within 48 hours after placement of the order. Any information received after 48 hours will not be accepted. Portier Taiwan may also request a photograph showing the problem. Portier Taiwan will review the relevant information and unless there is reasonable cause to believe the problem was caused by you, Portier Taiwan will provide a refund using the same method you used to pay for your order (save for cash payment where we can offer you an appeasement made via credits to your Account) in respect of the affected part of the Item; and also in respect of delivery if the whole order was affected. Prior to processing your refund, Portier Taiwan may take into account relevant factors including the details of the order, your Account history, what happened on delivery and information from the Merchant and Delivery Partner.
Perishable/Non-Perishable Items
For Items which are non-perishable, unopened and/or unspoilt, or non-personal hygiene products, you can return such Items within 7 days from the date of delivery in accordance with the Consumer Protection Act. All other perishable Items, Items with fairly short shelf life or will expire shortly, customized products, newspapers periodicals or magazines, sealed personal hygiene products which have been unsealed after delivery and sealed audio, video recording or computer software which have been unsealed after delivery are non-refundable.
For refunds of any such Item aforementioned, you can bring the Item(s) directly to the Merchant you placed the order from and present the receipt on your App. The Merchant reserves the final discretion on refunds based on the condition of the Item.
Delivery and Pick Up
When you place an order, you may have a choice of delivery or pick-up (if it is available in your city) for an ASAP delivery/pick-up or scheduled order delivery/pick-up.
(i) Delivery
The delivery time displayed at the top of your order is estimated and includes factors such as: (a) the time it typically takes the Merchant to accept and prepare an average order, and (b) the estimated time for a Delivery Partner (where Uber Delivery Service applies) or the Merchant (where Merchant Delivery applies) to travel from the pick-up point to the delivery address. Actual delivery time may vary depending on how busy the Merchant is, the size of your order, traffic conditions, weather conditions and other factors.
Please ensure that an accurate delivery address and contact number are reflected in the App for your order to be delivered to the right location. If you would like to change the address after you have placed an order (before the Delivery Partner has been dispatched or before the Merchant has commenced the delivery), Portier Taiwan may be able to do so if your new address is within the delivery area of the Merchant. If the location is outside of the Merchant’s delivery area, and the Merchant has started Item preparation and/or either the Delivery Partner is on its way or, in case of Merchant Delivery, the Merchant has commenced the delivery, you would be charged the full amount of the Item and delivery.
If the delivery of your order is late or does not arrive and the delivery status is shown as incomplete, you can access your Account and directly contact the Delivery Partner (for Uber Delivery Services) or the Merchant (for Merchant Delivery) for an update on the status of the order. If you are unable to contact the Delivery Partner or the Merchant and/or your order did not arrive but the delivery status is shown as completed, please contact us and provide details of the order. Portier Taiwan will review the issue and if it is found that the issue did not arise due to any of your actions, Portier Taiwan will provide a refund for any payment already made using the same method you used to pay for your order (save for cash payment where refund can only be made via credits to your account). Portier Taiwan may also apply credits to your account to reflect the inconvenience caused.
When the order is delivered to you, all risks associated with the Items and your order shall be transferred to you.
Failed Delivery
You must ensure that the delivery address provided by you has safe and available passageways to enable the Delivery Partner or the Merchant to successfully deliver the order to you. If there is no such passageway for the Delivery Partner or the Merchant to access and the Delivery Partner or the Merchant is unable to deliver the order, you would be charged the full amount of the Item and Delivery Services.
Failed delivery may also take place if (i) Portier Taiwan and/or the Delivery Partner tries to contact you when the Delivery Partner arrives at the delivery address but you do not respond to incoming phone calls or text messages within 10 minutes of the Delivery Partner physically reaching your provided address or (ii) Merchant tries to contact you when Merchant physically arrives at the delivery address but you fail to answer or are not present (as the case may be). In these instances, the Delivery Partner or the Merchant is unable to complete the delivery and you will be charged for the full amount.
(ii) Pick-Up
If you place a "Pick-up" order you will be notified when the Merchant accepts the order, the estimated time the order will be ready, and when the order is ready for Pick-up. Once your order is confirmed by the Merchant, you will be charged.
Please ensure that you pick up your order from the Merchant at the scheduled time the order is ready. If order is not picked up by the scheduled time, Merchant reserves the right to deem such order as completed.
Cancellation
(i) Cancellation by You
Our cancellation policy depends on your order status:
Cancelling before the Merchant accepts the order:
You can cancel anytime BEFORE the Merchant accepts the order through the App and receive a full refund for any payment already made.
Cancelling after the Merchant accepts the order:
If you would like to cancel an order AFTER an order has been accepted by a Merchant, you should contact our support team immediately or call the Merchant directly. Our support team will assist to contact the Merchant. If the Merchant confirms it has started preparing the order and is unable to accept the cancellation, Portier Taiwan will not be able to issue you a refund. For cancellations that are done directly via the App, you will continue to be charged for the Item.
Cancelling after the Delivery Partner is on his way to pick up your order
If the order is being delivered by Portier Taiwan using the Uber Delivery Services and you would like to cancel an order AFTER a Delivery Partner is on his way to pick up your order, you will be charged for the Item and delivery charge.
Cancelling after the Merchant’s staff has commenced the delivery
If the order is being delivered by the Merchant using Merchant Delivery and you would like to cancel an order AFTER the Merchant has commenced the delivery, you will be charged for the Item and delivery charge.
If you have selected cash as your payment method, the credit card on your Account will be charged before the next order can be placed.
(ii) Cancellation by Merchants
There may be instances where Merchants may cancel your order after accepting it because such Items are no longer available and/or there are no available Delivery Partners (for orders to be fulfilled using Uber Delivery Services) or the Merchant is unable to deliver the order (for orders to be fulfilled using Merchant Delivery). In such instances, Portier Taiwan will notify you through the App that the order is cancelled. You will not be charged for such cancelled orders, and Portier Taiwan (on behalf of Merchants) will refund you for any payment already made using the same method you used to pay for your order. Portier Taiwan may also apply credit to your account to reflect the inconvenience caused.
Payment errors
(i) Payment errors not attributable to you. If an error occurs to the payment for causes not attributable to you as a consumer, we, as a third-party payment enterprise, shall assist you in making correction and provide other necessary assistance.
(ii) Payment errors attributable to Uber. If an error occurs to the payment for causes attributable to us, we will seek to correct the error immediately upon being made aware of such error and we shall seek to notify you via email or in any other mutually agreed manner.
(iii) Payment error attributable to you. If an error occurs in relation to the payment for causes attributable to you, for example you have input the wrong order amounts or input incorrect recipients, we will, upon notice from you, assist in the processing of such cancellation or refund in accordance with the above section on “Cancellation”.
5. 一般訂餐者條款
訂單
當您透過應用程式下訂單,您的訂單資訊將傳送給相關商家合作夥伴且該商家合作夥伴將開始處理您的訂單。訂單將受限於商家合作夥伴商品之可販售狀態及優食台灣或商家合作夥伴之外送能力。在商家合作夥伴接受訂單並於我們通知您確認您的訂單已被接受時,商品之供應契約(及外送服務,若您選擇商家外送)已於您與商家合作夥伴間成立。您將有義務支付所有使用您的帳戶所訂商品之訂購費用及相關運費。
訂單收據及交易紀錄
當您透過應用程式為您的訂單付款,我們將會使用電子郵件或其他經同意之通訊方式寄送您的交易(包含付款)紀錄給您。您可以隨時透過您的帳號或Uber網站查詢任何先前交易之付款資訊。如果您需要任何幫助,請透過幫助頁面聯繫我們的客戶服務。
錯單、缺少/不正確/毀損的商品
若您認為外送之商品發生錯單情事、或您的訂單項目發生缺少、不正確或毀損的情況,請前往應用程式幫助頁面,並於下單後48小時內提供相關細節。優食台灣可能需要您提供照片顯示相關問題。優食台灣將會審查相關資訊,除非得合理認為前開情況可歸責於您,優食台灣將就受影響商品部分比照您用於支付訂單之方式進行退費(惟現金付款單的部分,我們將以點數的形式提供補償至您的帳戶),另若整筆訂單皆受影響,優食台灣就運費部分也會比照處理。在退費之前,優食台灣會考量相關因素,包括訂單細節、您的帳戶歷史、外送過程中所生情事及商家合作夥伴與外送合作夥伴所提供的資訊。
生鮮/非生鮮商品
若您訂購的商品為非生鮮、未開封和/或未腐敗或非私人衛生用品,您可依據消費者保護法之規定於貨到7天內退貨該商品。所有其他生鮮商品、保存期限相當短的商品或即將過期的商品、客製化商品、報紙期刊或雜誌、或於貨到後拆封之原密封私人衛生用品、於貨到後拆封之原密封之音樂、影片紀錄或電腦軟體,概不退貨。
如需辦理上開所提及商品之退貨,您可以攜帶商品直接至您下訂之商品至商家合作夥伴門市,並出示應用程式上之收據,惟商家合作夥伴享有對商品狀態判斷之最終決定權,
外送與自取
當您下訂單時,您有外送或自取(若您所在的城市有提供該選項)選項,以選擇即刻外送/自取服務或預約外送/自取服務。
(i) 外送
顯示於您訂單上方的外送時間是預估送達時間,包括許多因素:(a) 商家合作夥伴接受並準備一份平均訂單的通常所需時間,及 (b) 外送合作夥伴(適用於優食外送服務)或商家合作夥伴(適用商家外送)從取貨點到達外送地址的預計時間。實際送達時間將視商家合作夥伴的忙碌程度、您的訂單大小、交通狀況、天氣狀況及其他狀況而定。
請確保正確的外送地址及聯絡電話已登載於應用程式,以確保您的訂單被送達到正確的地點。若您在下單之後想要更改地址(在外送合作夥伴前往取餐或商家合作夥伴開始外送前),且若您想改變的新地點亦位於該商家合作夥伴的可外送區域內,優食台灣可能有機會協助您改單。若該新的地點超出該商家合作夥伴的可外送區域之外,商家合作夥伴已經開始備餐,且/或外送合作夥伴已前往取餐或如果是商家外送,則商家合作夥伴已開始外送貨,您將需支付全額的商品費用及運費。
若您訂購之訂單配送時間有所遲延或您未收到訂購之餐點且行程未顯示完成狀態,您可以登入帳戶並直接與該筆訂單之外送合作夥伴(適用於優食外送服務)或商家合作夥伴(適用於商家外送)聯繫以詢問訂單狀況。若您無法聯繫上外送合作夥伴或商家合作夥伴及/或您並未收到您的訂單,卻顯示外送合作夥伴已經完成配送,請與我們聯繫,並提供訂單細節。優食台灣會審查本件爭議,若經審查該爭議非可歸責於任何您的事由所生,就您已經支付的任何費用,優食台灣將依您所選定支付的同樣方式全額退款給您(惟現金付款僅能以點數的形式退款至您的金帳戶)。優食台灣亦可能提供點數於您的帳戶以反應因此對您造成的不便。
當訂單配送給您,所有與商品及您的訂單相關之風險將同時移轉給您。
無法送達
您必須確保您所指定的外送地址安全且可通過以確保外送合作夥伴或商家合作夥伴得順利將商品送給您。若沒有前開路線供外送合作夥伴或商家合作夥伴通過,且外送合作夥伴或商家合作夥伴無法派送您的訂單,商品及外送服務之全額費用將由您負責。
無法送達的情形也可能會發生於(i)若外送合作夥伴已抵達外送地址且優食台灣及/或外送合作夥伴試圖聯繫您,但您在外送合作夥伴實際抵達您提供的地址後十分鐘內未能接聽電話或回應簡訊或(ii)當商家合作夥伴實際上到達外送地址時,商家合作夥伴嘗試與您聯繫,但您未接聽或不在場(視情況而定)。在這些情況下,外送合作夥伴或商家合作夥伴便無法完成外送,您仍須就您的訂單支付全額費用。
(ii) 自取
若您下訂單時選擇「自取」,則當商家合作夥伴接受訂單、預計訂單準備時間以及訂單準備好自取時,您將會受到通知。當您的訂單被商家合作夥伴確認後,您將需要支付費用。
請確保您在訂單計畫完成時間前往商家合作夥伴處取餐。若無法在訂單計畫完成時間前往取餐,商家合作夥伴保留視為訂單已履行完成之權利。
取消
(i) 由您取消
我們的取消政策依您的訂單狀態而有不同:
在商家合作夥伴接受訂單前取消
您可在商家合作夥伴接受訂單前的任何時點,透過應用程式取消您的訂單,並就您已經支付的任何費用獲全額退款。
在商家合作夥伴接受訂單後取消
若您想在商家合作夥伴接受訂單後取消訂單,您應即聯繫我們的支援團隊或直接致電商家合作夥伴。優食台灣的支援團隊將協助聯繫商家合作夥伴。若商家合作夥伴確認其已開始準備訂單且無法接受取消訂單,優食台灣將無法提供您退款。若您係直接透過應用程式取消訂單,您仍須支付所預定之商品費用。
在外送合作夥伴前往取餐途中取消訂單
若訂單由優食台灣使用優食外送服務配送,且您想在外送合作夥伴前往取餐途中取消訂單,您將需支付商品費用及運費。
若您選擇現金支付作為您的付款方式時,在您進行下一筆訂單前,您於帳戶綁定的信用卡將被扣款。
商家合作夥伴工作人員開始配送後取消
如果商家合作夥伴使用商家外送方式配送訂單,且您想在商家合作夥伴開始配送後取消訂單,則您需要支付商品費用和運費。
(ii) 由商家合作夥伴取消
有時因為商品項目已無法供應及/或已無可配合的外送合作夥伴(適用於使用優食外送服務履行的訂單)或商家合作夥伴無法配送訂單(適用於使用商家外送服務履行的訂單),商家合作夥伴可能會取消您的訂單。此時,優食台灣會透過應用程式通知您訂單已取消。您將無須就此支付任何費用,且就您已經支付的任何費用,優食台灣(代表商家合作夥伴)將依您所選定支付的同樣方式全額退款給您。優食台灣亦可能提供點數於您的帳戶以反應因此對您造成的不便。
付款錯誤
(i)不可歸責於您之付款錯誤。如因不可歸責於身為消費者的您的原因而導致付款錯誤,我們將以第三方支付業者之身分協助您更正並且提供必要的協助。
(ii)可歸責於Uber的付款錯誤。如因可歸責於我們的原因而導致付款錯誤,我們將於知悉該錯誤後立即試圖更正,並且將設法通過電子郵件或以任何其他經雙方同意的方式通知您。
(iii)可歸責於您的付款錯誤。如因可歸責於您的原因而導致付款錯誤,例如您輸入錯誤的訂單金額或輸入錯誤的收件人,我們將在您通知後依照前條之「取消」規定協助處理取消或退款。
6. Payment and Tax
6A. Payment
For each order via the App, you will pay for the cost of the Items (“Item Price”) to the Merchant, and a delivery charge for Uber Delivery Services to Portier Taiwan or in the case of orders fulfilled via Merchant Delivery, a delivery charge to the Merchant. In case of orders fulfilled via Merchant Delivery, you may be required to pay a service fee to Portier Taiwan for connection services provided. In addition, Portier Taiwan may charge you other service fees as necessary(collectively the “Charges”). The delivery charges for Uber Delivery Services may vary based on several factors (including demand and supply of Delivery Partners, distance and time of delivery, variable fees etc), but you will always see the Charges upfront so you can decide whether you would like to proceed with the order. Each Merchant has the discretion on how much they want to charge for their Items and Merchant Delivery and the offers provided to you on the App, which may vary from what you see when you visit the Merchant.
Payment for the Item Price is facilitated by Portier Taiwan on behalf of the Merchant as its limited payment collection agent. Funds collected and disbursed by Portier Taiwan on behalf of Merchants are fully protected under a designated trust account by HSBC Taiwan as trustee for exclusive use. The beneficiary under the trust is Portier Taiwan and not Merchants. Any change in the trustee bank will be posted on the Uber Eats Taiwan website and/or in these terms and conditions.
Payment of the Item Price in such manner shall be made in New Taiwan Dollars (TWD or NTD) and shall be considered the same as payment made directly by you to the Merchant. Charges will be inclusive of applicable taxes. Charges paid by you are final and non-refundable, unless otherwise determined by Portier Taiwan or required by the Taiwan Consumer Law. All Charges are due immediately and payment will be facilitated by Portier Taiwan using the preferred payment method designated in your Account. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Portier Taiwan may, for itself (for the delivery charge and fees, where applicable) as well as acting as the Merchant’s limited payment collection agent (for the Item Price and delivery charge, where applicable), use a secondary payment method in your Account, if available. In some cases, you can alternatively make your payment in cash directly to the Delivery Partner at the time of delivery. You can select such cash payment option (if applicable) on the App before you place your order.
6B. Government Uniform Invoices
Portier Taiwan and/or Merchant (to the extent required under Taiwan tax laws) will provide you a Government Uniform Invoice (“GUI”) in respect of the delivery charges and other fees and the Item Price, as applicable.
For the sake of clarity:
it is the Merchant’s responsibility under applicable Taiwan tax laws to issue and provide the GUI on Item Price and delivery charge (for orders fulfilled using Merchant Delivery) to you. In the event that no GUI on Item Price and delivery charge (if applicable) has been issued by the Merchant or if it is missing from your order, it is your responsibility to directly contact the Merchant and request for the GUI on Item Price and delivery charge (if applicable) to be re-issued or provided by the Merchant. Uber and its affiliates bear no responsibility or liability for unissued or missing GUIs on Item Price and delivery charge (if applicable) in relation to your orders.
6C. Promotional Codes.
Portier Taiwan may create promotional codes that may be redeemed for Account credit, or other features or benefits related to the Services, Items and/or delivery services provided by a Merchant, subject to any additional terms that Portier Taiwan establishes on a per promotional code basis ("Promo Codes"). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by Portier Taiwan ; (iii) may, as permitted by applicable laws, be disabled by Portier Taiwan at any time; (iv) may only be used pursuant to the specific terms for such Promo Code ; (v) are not valid for cash; and (vi) may expire prior to your use. Portier Taiwan reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that Portier Taiwan reasonably determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.
6. 付款及稅款

就透過應用程式訂購之每一筆訂單,您將向商家合作夥伴支付商品費用(「商品費用」)及向優食台灣支付的優食外送服務的運費,或如果是透過商家外送完成的訂單,則向商家合作夥伴支付運費。此外,優食可能會根據需求向您收取其他服務費用(合稱「費用」)。優食外送服務的運費將依不同因素而有差異(包含外送合作夥伴之需求與供給、外送之距離與時間、不同費用等),但您始終會看到您應支付的費用,您便可決定是否進行該筆訂單。每個商家合作夥伴皆有權自行決定其對商品和商家外送的收費及於應用程式上提供的選項,各該資訊有可能與您在餐廳實際看到的有所差異。
該商品費用的支付,係由優食台灣以商家合作夥伴之有限收款付款代理人身份,代表商家合作夥伴協力完成。由優食台灣股份有限公司代商家合作夥伴收取及支付的費用,受到HSBC Taiwan作為受託人之專款專用信託帳戶之充分保護。此信託帳戶之受益人是優食台灣股份有限公司而非商家合作夥伴。任何有關受託銀行之更動將會公布於Uber Eats Taiwan網站及/或於此條款及條件。
以該等方式支付之費用應以新台幣(TWD或NTD)支付,且應被視為相同於由您直接支付予商家合作夥伴。費用應含稅。除非經優食台灣確定或符合台灣消費者保護法之規定,您支付的費用係最終金額且不可退費。所有該費用應視為立即屆清償期,且優食台灣將依您帳戶設定的優先付款方式,協助完成該筆費用之支付。若您設定的優先付款方式被認定已到期、無效或發生其他問題致無法扣款,您同意優食台灣可以自行(為運費和費用,如有適用)以及基於商家合作夥伴有限收款付款代理人之身份(為商品費用及運費,如有適用),以您帳戶內設定的第二種付款方式進行扣款(如有適用)。有些情況,您可選擇在訂單項目送達時直接向外送合作夥伴支付現金。您可在下訂單前於應用程式中選擇「現金」支付選項(如有適用)。
6B. 政府統一發票
(於台灣稅法所必須之範圍下)優食台灣及/或商家合作夥伴將分別向您提供有關運費和其他費用及商品費用之政府統一發票(「統一發票」), 如適用。
為免疑義:
- 依據適用的台灣稅法,商家合作夥伴有責任向您開立並提供商品費用和運費(對於使用商家外送完成的訂單)之統一發票給您。若商家合作夥伴並未開立商品費用及運費(如有適用)之統一發票或若您的訂單中缺少該統一發票,則你應負責直接與商家合作夥伴聯繫,並要求商家合作夥伴就商品費用及運費(如有適用)重新開立或提供統一發票予您。Uber及其關聯企業不承擔任何與您的訂單有關之商品費用及運費(如有適用)統一發票未開立或遺失之責任。
6C. 優惠序號。
根據優食台灣針對每個優惠序號(「優惠序號」)設立的附加條款,優食台灣自己可能決定發行優惠序號以彌補賒帳或其他有關本服務、商品及/或由商家合作夥伴提供的外送服務的功能或利益。您同意,優惠序號:(i) 須透過合法手段用於預期受眾及目的;(ii) 不得以任何方式複製、出售、轉讓或公開(無論是以公共形式或其他形式公佈),除非獲優食台灣明確許可;(iii) 於適用法律之允許下,可能隨時由優食台灣停效;(iv) 只可根據此等優惠序號制定的特別條款進行使用;(v) 不可兌換現金;及 (vi) 可能在您使用前失效。若 優食台灣合理 認定或相信使用或兌現優惠序號的行為是錯誤的、帶有欺騙性、非法的,或違反了適用的優惠序號條款或本條款,則 優食台灣 保留對透過您或其他任何使用者使用優惠序號所得其他功能或利益予以保留或扣除的權利。
7. Disclaimer; Limitation of Liability; Indemnity

EXCEPT AS REQUIRED OF UBER UNDER THE CONSUMER GUARANTEES, THE SERVICES ARE PROVIDED "AS IS" AND “AS AVAILABLE.” UBER DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. UBER DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF MERCHANTS . YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, INCLUDING THE TAIWAN CONSUMER PROTECTION ACT.
Indemnity.
You agree to indemnify and hold Uber and its affiliates harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of any of these Terms including any unauthorized use of your Account; (iii) Uber’s use of your User Content; or (iv) your violation of the rights of any third party, including Merchants and/or Delivery Partners ("Losses").
You will be fully liable for any losses which you incur resulting from unauthorized access to or use of your Account up to the date of notifying Uber in accordance with section 4 (Account Security), as a result of:
- your failure to protect your Account details and password;
- providing your Account passwords to others on their accord;
- your failure to use the security mechanisms provided by Uber;
- your intentional or gross negligence.
Your liability under this clause shall be reduced proportionately if, and to the extent that, Uber directly caused or contributed to any such Losses.

補償。
您同意補償Uber及其關聯企業因下列事項而生或有關之任何及全部索賠、要求、損失、責任及費用:(i) 您使用本服務或您透過使用本服務所獲取之服務或商品;(ii) 您不履行或違反任何本條款之規定,包含任何未經授權使用您帳戶之行為;(iii) Uber使用您的使用者內容;或(iv) 您侵害第三方之權利,包括商家合作夥伴及/或外送合作夥伴(「損失」)。
於下列情形,您將為截至您依據第4條(帳戶安全)通知Uber為止,未經授權存取或使用您的帳戶所造成的任何損失負擔全部責任:
- 您未能保護您帳戶信息及密碼
- 您提供您帳戶密碼予他人
- 您未能使用Uber提供之安全機制
- 您具故意或重大過失
若在Uber直接造成或導致任何該等損失之範圍內,您依本條規定所負之責任應依比例減少。
8. Termination of Account
UPBV may restrict you from accessing or using the App, and Portier Taiwan may restrict you from accessing or using the Delivery Services, or any part of them, immediately, without notice, in circumstances where UPBV or Portier Taiwan reasonably suspects that:
- you have, or are likely to, breach these Terms or the Community Guidelines; and/or
- you do not, or are likely not to, qualify, under applicable law or the standards and policies of Uber and its affiliates, to access and use the Services.
UPBV may terminate these Terms or your access to the App, and Portier Taiwan may terminate these Terms or any Delivery Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof:
- immediately, where UPBV or Portier Taiwan reasonably suspects that:
- you have, or are likely to, materially breach these Terms or the Community Guidelines; and/or
- you do not, or are likely not to, qualify, under applicable law (including Article 11 of the Matters to be Included and Excluded in the Online Transaction Standard Form Contract for Third-Party Payment Services) or the standards and policies of Uber and its affiliates, to access and use the Services, including where:
- substantial evidence shows that you have used your account to engage in fraud, money-laundering or other illegal activities;
- your payment has been seized by a ruling of a court or order of a public prosecutor;
- it is verified that you have provided false identity authentication information; or
- on 2 days written notice to you, where UPBV or Portier Taiwan, acting reasonably, terminates these Terms or any Services for any legitimate business, legal or regulatory reason.
Without limiting its other rights under these Terms, UPBV may immediately restrict or deactivate your access to the App and Portier Taiwan may immediately restrict or deactivate your access to the Delivery Services respectively if you breach the Community Guidelines at any time.
You may terminate these Terms at any time, for any reason through the app by going to “Settings-Privacy Settings-Delete Account”. Your account will be immediately deactivated if you delete your Uber account. After 15 days, your account will be permanently deleted. Uber may retain certain information after account deletion as required or permitted by law.
8. 帳戶之終止
如UPBV或優食台灣合理懷疑以下事項,UPBV可能會未經通知限制您存取或使用應用程式,且優食台灣可能會未經通知限制您存取或使用外送服務或任何部分之外送服務:
- 您已經或可能違反本條款或社群指引;及/或
- 您不符合或可能不符合依據適用法律、Uber及其關聯企業標準或政策所定存取及使用本服務之資格。
UPBV可以對您終止本條款或終止您存取任何本服務,且優食台灣可能終止本條款或任何與您有關之外送服務,或廣泛性的中止提供及拒絕您存取本服務或任何部分之本服務:
- 如UPBV或優食台灣合理懷疑以下事項,將立即性終止:
- 您已經或可能重大違反本條款或社群指引及/或;
- 您不符合或可能不符合依據適用法律(包含第三方支付服務定型化契約應記載及不得記載事項第11條)、Uber及其關聯企業標準或政策所定存取及使用本服務之資格,包含
- 有實質證據顯示您曾使用您的帳戶從事詐騙、洗錢或其他非法活動。
- 您的款項被法院裁定/命令或檢察官之命令扣押;
- 經確認您提供了不實的身分驗證資訊;或
- UPBV或優食台灣得為任何合法業務、合法及合規之理由,以2日前之書面通知合理地終止本條款或任何本服務。
如您在任何時候違反社群指引,UPBV可以隨時立即限制或停用您對於應用程式之存取,且優食台灣可以隨時立即限制或停用您對於外送服務之存取,且不構成其於本條款下其他權利之限制。
您得隨時以任何理由透過應用程式「設置-隱私設置-刪除帳戶」終止本條款。如果您刪除您的Uber帳戶,您的帳戶將立即被停用。15日後,您的帳戶將永久被刪除。Uber可能會在帳戶刪除後在法律的要求或允許下保留若干資訊。
9. Governing Law; Arbitration
There are a number of mechanisms available to you to resolve any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any "Dispute"). Uber or its affiliates operate a complaints process to allow you to make complaints about UPBV, Portier Taiwan or Merchants and/or Delivery Partners, and Portier Taiwan also manages refunds to you in relation to those complaints. Portier Taiwan or its affiliates will operate this complaints process in a reasonable manner. In addition, you may have rights to make a complaint to fair trade or consumer law bodies in relation to applicable consumer laws, including the non-excludable portions of the Taiwan Consumer Law.

Except as otherwise set forth in these Terms, these Terms shall be exclusively governed by and construed in accordance with the laws of Taiwan, excluding its rules on conflicts of laws. In the event of a Dispute, either party may file an action in the Taiwan Taipei District court or pursue final and binding arbitration or other alternative dispute resolution as agreed upon by the parties.
Any proceedings, including documents and briefs submitted by the parties, correspondence from a mediator, and correspondence, order and awards issued by an arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation set out in these Terms.
9. 準據法;仲裁
本服務或本條款所生,或廣泛相關或有關之任何爭議、衝突、主張或分歧,包括關於其有效性、其解釋及其執行力(任何「爭議」),有許多可供您利用之解決機制。Uber或其關聯企業所經營之客訴程序允許您對UPBV、優食台灣、或商家合作夥伴及/或外送合作夥伴提出客訴,優食台灣亦協助關於前開客訴之退款。優食台灣或其關聯企業將以合理之方式管理客訴程序。此外,您可以依據適用法律對公平交易或消費者法律機構提出客訴,包括台灣消費者法規定不得排除之事項。

除本條款另行規定者外,本條款應專屬適用台灣法為準據法及解釋,並排除法律衝突法則之適用。如發生爭議,全體當事人同意得向於臺灣臺北地方法院提起訴訟,或提交終局且具拘束力之仲裁,或全體當事人同意之其他替代紛爭解決方式。
任何法律程序包括全體當事人提交的文件及書狀、調解員的通信、仲裁員簽發的通信、命令及裁決,應嚴格保密,未經另一方明確書面同意,不得向任何第三方揭露,除非:(i) 向該第三方揭露是執行調解或仲裁法律程序合理必需;及 (ii) 該第三方書面無條件同意接受本條款所定的保密義務約束。
10. Other Provisions
Claims of Copyright Infringement.
Claims of copyright infringement should be sent to Uber’s designated agent. Please visit Uber’s web page at https://www.uber.com/legal for the designated address and additional information.
Notice.
Uber may give notice by means of a general notice on the App, electronic mail to your email address in your Account, or by written communication sent to your address as set forth in your Account. You may give notice to Uber by written communication to the address of Portier Taiwan at 3F., No. 27, Wuquan 5th Rd., Wugu Dist., New Taipei City 248, Taiwan (R.O.C.).
General.
You may not assign or transfer these Terms in whole or in part without Uber’s prior written approval. You give your approval to Uber for it to assign or transfer these Terms in whole or in part, including to: (i) a subsidiary or affiliate; (ii) an acquirer of Uber’s equity, business or assets; or (iii) a successor by merger. No joint venture, partnership, employment or agency relationship exists between you, Uber or any third party provider as a result of the contract between you and Uber or use of the Services.
If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms, including any incorporated policies, constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. Nothing in this clause limits your rights as a consumer that cannot be excluded under applicable law, including the Taiwan Consumer Protection Act. In these Terms, the words "including" and “include” mean “including, but not limited to.”
Uber Cash Terms.
Uber, Uber’s affiliates or a Third Party Provider (as defined in the Uber Cash Terms) may provide or gift non-refundable, non-transferable credits to you pursuant to the Uber Cash Terms. Your consent to be bound by these Terms constitutes your consent to be bound by the Uber Cash Terms.

1.5. Uber may amend the Terms, any policies or supplemental terms (including but not limited to the Community Guidelines and the Uber Cash Terms) related to the Services from time to time. Uber will provide you with at least 2 days notice through a posting on its website, email or the notification function of the App, in the event of a material change to any Terms, policies or supplemental terms that detrimentally affects your rights under these Terms. Amendments will be effective upon Uber’s posting of such updated Terms at this location or the amended policies or supplemental terms on the applicable Service. If you do not agree to any proposed changes or amendments to the Terms you may terminate these Terms at any time in accordance with section 6.4. Your continued access or use of the Services after such posting, or after the expiry of the notice period (whichever is later), constitutes your consent to be bound by the Terms, as amended.
“Community Guidelines” means the Uber’s community guidelines policy available at https://www.uber.com/legal/en/document/?name=general-community-guidelines&country=taiwan&lang=en (as amended by Uber from time to time).
“Uber Cash Terms” means the Uber Cash Terms of Use available at https://www.uber.com/legal/en/document/?name=uber-cash-terms-of-use&country=taiwan&lang=en (as amended by Uber or its affiliate from time to time).

Uber may provide to a claims processor or an insurer any necessary information (including your contact information) if there is a complaint, dispute or conflict, which may include an accident, involving you and a Third Party Transportation Provider (including a transportation network company driver partner) and such information or data is necessary to resolve the complaint, dispute or conflict.

PCI DSS Compliance
Uber is compliant with and shall remain compliant with the Payment Card Industry (PCI) Data Security Standards to the extent that we (or our Affiliates) possess or otherwise store, process or transmit your payment instrument data or other data which is subject to PCI obligations.

2. The Services / 本服務
2.1. Uber will provide the Services to you under these Terms. The Services constitute the provision of a technology platform that enables you, as a user of Uber’s mobile applications or websites (each, an "Application") to: (a) arrange and schedule transportation services with independent third party providers of those services, who have an agreement with Uber or its affiliates ("Third Party Transportation Providers"); and (b) facilitate payments to Third Party Transportation Providers for the Services and receive receipts for those payments.

2.2. Third Party Transportation Providers in Taiwan refer to rental car companies, multi-purpose taxi dispatcher companies and/or taxi companies and, for Courier delivery services in designated areas, Uber Portier Taiwan Co. Ltd.

2.3. The Services are made available solely for your personal, noncommercial use, unless Uber has agreed with you otherwise in a separate agreement. You acknowledge that Uber does not provide transportation or transportation dispatch services and that all such transportation services are provided by independent third party contractors who are not employed by Uber or any of its affiliates. Uber accepts liability for the Services and Application that it provides to you subject to these Terms. Third Party Transportation Providers are responsible for the services they provide to you.

Subject to your compliance with these Terms, Uber grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable free-of-charge license to: (i) access and use the Applications on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by Uber and Uber’s licensors.

You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by Uber; (iii) decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

You acknowledge that portions of the Services may be made available under Uber’s various brands or request options associated with transportation, including the transportation request brands currently referred to as "Uber," "uberX," “uberXL,” "UberSELECT", "UberASSIST", "UberTAXI", “UberBLACK,” “UberSUV,” and “UberLUX”. You also acknowledge that the Services may be made available under such brands or request options by or in connection with: (i) certain of Uber’s subsidiaries and affiliates; or (ii) independent Third Party Transportation Providers, including transportation network company drivers or holders of similar transportation permits, authorisations or licenses.

2.7. Third Party Services and Content. / 第三方服務和內容。
The Services may be made available or accessed in connection with third party services and content (including advertising) that Uber does not control. You acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content. Uber does not endorse such third party services and content and in no event shall Uber be responsible or liable for any products or services of such third party providers. Additionally, Apple Inc., Google, Inc., Microsoft Corporation or BlackBerry Limited and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to this contract if you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows, or Blackberry-powered mobile devices, respectively. These third party beneficiaries are not parties to this contract and are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to the terms set forth in the applicable third party beneficiary’s terms of service.

The Services and all rights therein are and shall remain Uber’s property or the property of Uber’s licensors. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner Uber’s company names, logos, product and service names, trademarks or services marks or those of Uber’s licensors.

3. Your Use of the Services / 使用本服務
3.1. User Accounts. / 使用者帳戶
In order to use most aspects of the Services, you must register for and maintain an active personal user Services account ("Account"). Unless a specific Service permits otherwise, you must be at least 18 years of age or the legal age in such country, to obtain an Account, or solely in respect of Uber Teens accounts, teens between the ages of 13 and 17 who have the consent of their parents or guardians to use the Services (hereinafter referred to as "Teens") can obtain Uber Teens accounts. Account registration requires you to submit to Uber certain personal information, such as your name, address, email address, mobile phone number and age, as well as at least one valid payment method (either a credit card or debit card or accepted payment partner). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access or use the Services.
Account security
You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times. Unless otherwise permitted by Uber in writing, you may only possess one Account.
You should notify Uber immediately if you become aware of any unauthorised activity on your Account by contacting Uber via the Help page: https://help.uber.com/riders, which is available 24 hours a day, 7 days a week. Upon being made aware of any unauthorised use of your Account password by you, Uber will (i) immediately suspend any payment methods which you have saved to your Account and (ii) suspend any payment instructions on your Account which are made after the date you notified Uber of such unauthorised activity.

The Service is not available for use by persons under the age of 18 or such relevant legal age in the country. You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 or such relevant legal age in the country to receive transportation services from Third Party Transportation Providers unless they are accompanied by you. Notwithstanding the foregoing, solely in respect of Services of Uber Teens accounts, such Services are available to Teens authorized by parents or guardians. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when accessing or using the Services, and you may only access or use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Transportation Provider or any other party. In certain instances you may be asked to provide proof of identity or other method of identity verification to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity or other method of identity verification.

By creating an Account, you agree that the Services may send you text (SMS) messages as part of the normal business operation of your use of the Services. These communications are important for your experience and to comply with applicable law. You may opt-out of receiving text (SMS) messages from Uber at any time by following the directions found at https://www.uber.com/unsubscribe/. You acknowledge that opting out of receiving text (SMS) messages may impact your use of the Services.

Uber and/or its affiliates (or in conjunction with certain Third Party Transportation Provider as required by law) may, create promotional codes that may be redeemed for Account credit, or other features or benefits related to the Services and/or a Third Party Transportation Provider’s services, subject to any additional terms that Uber and/or its affiliates establishes on a per promotional code basis ("Promo Codes") to the extent permitted by applicable laws. You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public form or otherwise), unless expressly permitted by Uber and/or its affiliates; (iii) may be disabled by Uber and/or its affiliates by providing you at least 3 days prior written notice ; (iv) may only be used pursuant to the specific terms that Uber and/or its affiliates (or in conjunction with certain Third Party Transportation Provider as required by law) establishes for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. Uber and/or its affiliates reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that Uber and/or its affiliates reasonably determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.

3.5.1. Uber and/or its affiliates may permit you from time to time to submit, upload, publish or otherwise make available to Uber and/or its affiliates through the Services textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. However, by providing User Content to Uber and/or it affiliates, you grant Uber and/or its affiliates a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Uber’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Uber and/or its affiliates the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Uber and/or its affiliates’ use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
您特此聲明及保證:(i) 您為所有使用者內容的唯一及獨家所有人,或您擁有就上述使用者內容向 Uber 及/或其關聯企業 授權所需所有權利、許可、同意權及豁免權; (ii) 使用者內容或由您提交、上傳、發布或以其他手段使用的使用者內容或 Uber 及/或其關聯企業 依本條款獲准使用使用者內容的行為均不會侵犯、侵占、或違反第三方的智慧財產權或所有權權利、公開權或隱私權,或違反任何適用的法律或法規。
3.5.3. You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Uber and/or its affiliates in their sole discretion, whether or not such material may be protected by law. Uber and/or its affiliates may, but shall not be obligated to, review, monitor, or remove User Content, at any time and for any reason, without notice to you.

3.6. Network Access and Devices. / 網路權限及設備。
You are responsible for obtaining the data network access necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. Uber does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

You understand that use of the Services may result in charges to you from a Third Party Transportation Provider for the transportation services you receive ("Charges"). Charges include Fares and other applicable fees and taxes in Taiwan, including any tips to the Third Party Transportation Provider driver partner that you elect to pay.

4.1.1. Fares / 車資
4.1.1.1. Fares pricing and calculation may vary depending on the type of transportation services you request from a Third Party Transportation Provider.

4.1.1.2. Upfront Fare: For some of the transportation services, you would be quoted an upfront estimate fare from the Third Party Transportation Provider based on the rate for time and distance to your destination (compliant to local regulatory requirements) and any applicable fees may be quoted for some of the transportation services at the time of your request. The quoted fare may change if the actual route taken or the actual trip time is different from the estimated route or time due to certain reasons (including without limitation instruction by you to take a different route, traffic and road conditions, etc.), you add or change stops, you change your destination, and/or if the Third Party Transportation Provider driver partner has waited for a while at any location designated by you (including without limitation pickup and dropoff locations and stops).

4.1.1.3. Meter Fare: For some of the transportation services, the trip fare is calculated by the meter and will be collected by the Third Party Transportation Provider driver partner in cash. For any fare issues arising from the route, you should check with the Third Party Transportation Provider driver partner before the trip ends.

4.1.1.4. Uber and/or its affiliates reserves the right to establish, remove and/or revise Charges for any or all transportation services obtained through the use of the Services. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. Uber and/or its affiliates will use reasonable efforts to inform you of Charges that may apply. Uber and its affiliates may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar transportation services obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may elect to cancel your request for transportation services from a Third Party Transportation Provider at any time prior to such Third Party Transportation Provider arrives, in which case you may be charged a cancellation fee.
透過使用本服務取得之任何或全部之運輸服務,Uber 及/或其關聯企業 保留設立、刪除及/或修訂變更該等費用的權利。此外,您承認並同意在特定地理區域,費用可能在高需求時段顯著增加。Uber 及/或關聯企業 將透過合理努力告知您可能產生的費用。Uber 及/或其關聯企業可能不時向特定使用者提供促銷價格及折扣,這可能會導致在使用本服務時對同種或類似運輸服務的收費不同,且您同意,該等促銷價格及折扣,除對您可適用的情況外,不會對您使用本服務或您需支付的費用產生影響。您可在第三方運輸提供商到達之前隨時選擇取消您對其運輸服務的需求,在此情況下您可能需要支付取消費。
4.1.1.4.A. Payment errors / 付款錯誤
(i) Payment errors not attributable to you. If an error occurs to the payment for causes not attributable to you as a consumer, we, as third-party payment enterprise, shall assist you in making correction and provide other necessary assistance.
(ii) Payment errors attributable to Uber. If an error occurs to the payment for causes attributable to us, we will seek to correct the error immediately upon being made aware of such error and we shall seek to notify you via email or in any other mutually agreed manner.
(iii) Payment error attributable to you. If an error occurs in relation to the payment for causes attributable to you, for example you have input the wrong order amounts or input incorrect recipients, we will, upon notice from you, assist in the processing of such cancellation or refund in accordance with section 4.1.1.6.

4.1.1.5. Fees for repair, cleaning and lost items. You shall be responsible for the cost of repair for damage to, or necessary cleaning of, Third Party Transportation Provider vehicles and property resulting from use of the Services under your Account in excess of normal "wear and tear" damages and necessary cleaning ("Repair or Cleaning"). In the event that a Third Party Transportation Provider reports the need for Repair or Cleaning, and such Repair or Cleaning request is verified by Uber and/or its affiliates in Uber and/or its affiliates’ reasonable discretion, Uber and/or its affiliates reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning on behalf of the Third Party Transportation Provider using your payment method designated in your Account. Such amounts will be transferred by Uber and/or its affiliates to the applicable Third Party Transportation Provider and are non-refundable. Further, you shall be responsible for the applicable fees associated with the return of any lost and found items to you pursuant to your request. Details of the applicable charges will be separately notified to you. However, if you do not agree with the above applicable fees, the Third Party Transportation Provider driver partner shall, where appropriate, be entitled to turn over such lost and found items to the police or the appropriate authorities. Should you wish to collect such items, you will be responsible for claiming the item from such parties in accordance with the appropriate requirements under the applicable laws and regulations.
修理、清潔清洗費用或遺失物品費。您應承擔因在您的帳戶下使用本服務而導致第三方運輸提供商車輛及財產產生正常「磨損」損傷或必要清洗以外的損傷修理和必要清潔花費(「修理或清潔」)。若第三方運輸提供商報告需要進行維修或清潔,且該等維修或清潔要求經 Uber 及/或其關聯企業 合理酌情決定確認,Uber 及/或其關聯企業 保留代表第三方運輸提供商透過您在帳戶中指定的付款方式就該等修理或清潔的合理花費促使您付款的權利。該等款項將由 Uber 及/或其關聯企業 轉交至適用的第三方運輸提供商,且不予退還。此外,您需要負擔依照您的指示將遺失或找回物品返還於您的相當費用。前開適用的費用詳細內容將會另行通知您。然而,若您不同意負擔關於遺失或找回物品之費用,第三方運輸提供商駕駛夥伴將有權將該遺失或找回的物品送交警察機關或適合的主管機關。若您希望取回該物品,您將需要依照所適用法規之指示,向該方提出物品是歸屬於您的相關證明。
4.1.1.6. Cancellation Fees. You may cancel a ride through the Application at any time. You acknowledge and agree that you may be charged a cancellation fee (or such other fees which Uber and/or its affiliates may, on behalf of certain Third Party Transportation Provider, notify from time to time) in the following scenarios: (1) you cancel 3 minutes after you are matched with a Third Party Transportation Provider driver partner and/or (2) the Third Party Transportation Provider driver partner has waited for you at the pickup location for several minutes (detail will be provided in the Application) and thereafter canceled the trip. The cancellation fee (or such other fees) is charged by the Third Party Transportation Provider. The amount of the cancellation fee may vary based on the trip option you have chosen. If you believe you were charged a cancellation fee in error, or would like to request a price adjustment or refund or otherwise have a complaint about your ride, you submit your request or complaint to help.uber.com within seven (7) days of the ride in question.

4.1.2. Payment / 付款
4.1.2.1. For non-cash trips, after you have received transportation services obtained through your use of the Service, Uber and/or its affiliates will facilitate your payment of the applicable Charges on behalf of the Third Party Transportation Provider as such Third Party Transportation Provider’s limited payment collection agent. Funds collected and disbursed by Uber Formosa Co., Ltd on behalf of Third Party Transportation Providers are fully protected under a designated trust account by HSBC Taiwan as trustee for exclusive use. The beneficiary under the trust is Uber Formosa Co., Ltd and not Third Party Transportation Providers. Any change in the trustee bank will be posted on the Uber Taiwan website and/or in these terms and conditions.

Payment of the Charges in such manner shall be made in New Taiwan Dollars (TWD or NTD) and shall be considered the same as payment made directly by you to the Third Party Transportation Provider. Charges will be inclusive of applicable taxes where required by law. Charges paid by you are final and non-refundable, unless otherwise determined by Uber and/or its affiliates or required by the Taiwan Consumer Protection Law. You retain the right to request lower Charges from a Third Party Transportation Provider for transportation services received by you from such Third Party Transportation Provider at the time you receive such services . Uber and/or its affiliates will respond accordingly to any request from a Third Party Transportation Provider to modify the Charges for a particular service.

All Charges are due immediately and payment will be facilitated by Uber and/or its affiliates using the preferred payment method designated in your Account, after which Uber and/or its affiliates will send you a receipt by email or using other agreed method of communication. You may find payment details of any preceding transactions via your Account or the Uber website available for your enquiry at any time. If you require any support please reach out to our customer support via the Help page. If your primary Account payment method is determined to be expired, invalid or otherwise not able to be charged, you agree that Uber and/or its affiliates may, as the Third Party Transportation Provider’s limited payment collection agent, use a secondary payment method in your Account, if available. In some cases, you may choose to settle the Charges in cash directly with the Third Party Transportation Provider driver partner, in which case you agree to settle the Charges (absent gratuity) in full based on the amount specified in the Application. You can select such cash payment option (if available) on the Application.

4.1.2.3. This payment structure is intended to fully compensate the Third Party Transportation Provider for the transportation services provided. Uber and/or its affiliates does not designate any portion of your payment as a tip or gratuity to the Third Party Transportation Provider. Any representation by Uber and/or its affiliates (on Uber and/or its affiliates’ website, in the Application, or in Uber and/or its affiliates’ marketing materials) to the effect that tipping is "voluntary" or "not required" is not intended to suggest that Uber and/or its affiliates provide any additional amounts, beyond those described above, to the Third Party Transportation Provider. You understand and agree that, while you are free to provide additional payment as a gratuity to any Third Party Transportation Provider who will provide or provides you with transportation services obtained through the Service, you are under no obligation to do so. Gratuities are voluntary. However, once you decide to enter an amount of gratuity, it may not be changed or revoked. After you have received transportation services obtained through the Service, you will have the opportunity to rate your experience and leave additional feedback about your Third Party Transportation Provider.

5.2. DISCLAIMER. EXCEPT AS REQUIRED OF UBER UNDER THE CONSUMER GUARANTEES, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." UBER DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY OR AVAILABILITY OF THE SERVICES OR ANY TRANSPORTATION SERVICES REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. UBER DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD PARTY TRANSPORTATION PROVIDERS. YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY TRANSPORTATION SERVICE REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, INCLUDING THE TAIWAN CONSUMER PROTECTION ACT.

UBER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES. UBER SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY TRANSPORTATION PROVIDER. UBER SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND UBER’S REASONABLE CONTROL. IN NO EVENT SHALL UBER’S TOTAL LIABILITY TO YOU IN CONNECTION WITH THE SERVICES FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION EXCEED TWENTY THOUSAND TAIWAN DOLLARS (NTD20,000).

5.4. UBER’S SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE TRANSPORTATION WITH THIRD PARTY TRANSPORTATION PROVIDERS, BUT YOU AGREE THAT UBER HAS NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY TRANSPORTATION SERVICES PROVIDED TO YOU BY THIRD PARTY TRANSPORTATION PROVIDERS OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS.
您可能使用 Uber 的服務以要求並安排第三方運輸提供商提供運輸,但您同意,除本條款載明的情況外,Uber 不會就第三方運輸提供商向您提供的運輸服務承擔任何責任或義務。
5.5. UBER WILL MAINTAIN A COMPLAINTS MANAGEMENT FRAMEWORK AS AUTHORISED BY, AND ON BEHALF OF THIRD PARTY TRANSPORTATION PROVIDERS, IN A REASONABLE WAY AND IN ACCORDANCE WITH THE NON-EXCLUDABLE REQUIREMENTS OF THE TAIWAN CONSUMER PROTECTION ACT.
Uber將經營客訴管理機制,並經第三方運輸提供商授權且代表其第三方運輸提供商以合理之方式及符合台灣消費者保護法所定不得排除之責任管理該機制。
5.6. THE LIMITATIONS AND DISCLAIMER IN THIS SECTION 5 DO NOT PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CONSUMER THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING ANY OF THE NON-EXCLUDABLE REQUIREMENTS OF THE TAIWAN CONSUMER PROTECTION ACT .
第 5條中所列限制及免責條款並非意在限制根據適用法律不得排除的責任或變更您作為消費者所擁有的權利,包括任何依據台灣消費者保護法所定不得排除之責任。
5.7. Indemnity. To the extent permitted by the Taiwan Consumer Protection Act, You agree to indemnify and hold Uber and its affiliates and their officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (i) your use of the Services or transportation services obtained through your use of the Services; (ii) your breach or violation of any of these Terms including any unauthorised use of your Account; (iii) Uber and/or its affiliates’ use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Transportation Providers ("Losses").
補償。於台灣消費者保護法允許之範圍內,您同意補償Uber及其關聯企業、主管、董事、員工及代理人並使其免於因下列事項而生或有關之任何及全部索賠、要求、損失、責任及費用:(i) 您使用本服務或您透過使用本服務所獲取之運輸服務;(ii) 您不履行或違反任何本條款之規定,包含任何未經授權使用您帳戶之行為;(iii) Uber 及/或其關聯企業使用您的使用者內容;或(iv) 您侵害第三方之權利,包括第三方運輸提供商(「損失」)。
5.7.1. You will be fully liable for any losses which you incur resulting from unauthoriszed access to or use of your Account up to the date of notifying Uber in accordance with section 4 (Account Security), as a result of:
- your failure to protect your Account details and password;
- providing your Account passwords to others on their accord;
- your failure to use the security mechanisms provided by Uber;
- your intentional or gross negligence.
於下列情形,您將為截至您依據第4條(帳戶安全)通知Uber為止,未經授權存取或使用您的帳戶所造成的任何損失負擔全部責任:
- 您未能保護您帳戶信息及密碼
- 您提供您帳戶密碼予他人
- 您未能使用Uber提供之安全機制
- 您具故意或重大過失
5.8. Your liability under this clause shall be reduced proportionately if, and to the extent that, Uber directly caused or contributed to any such Losses.
若在Uber直接造成或導致任何該等損失之範圍內,您依本條規定所負之責任應依比例減少。
6. Termination of Account / 帳戶之終止
6.1. Uber may restrict you from accessing or using the Services, or any part of them, immediately, without notice, in circumstances where Uber reasonably suspects that:
如Uber合理懷疑以下事項,Uber可能未經通知立即限制您存取或使用本服務或其任何部分:
6.1.1. you have, or are likely to, breach these Terms; and/or
您已經或可能違反本條款;及/或
6.1.2. you do not, or are likely not to, qualify, under applicable law or the standards and policies of Uber and its affiliates, to access and use the Services.
您不符合或可能不符合依據適用法律、Uber及其關聯企業標準或政策所定存取及使用本服務之資格。
6.2. Uber may terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof:

6.2.1. immediately, where Uber reasonably suspects that:

6.2.2.1. you have, or are likely to, materially breach these Terms; and/or

6.2.2.2. you do not, or are likely not to, qualify, under applicable law (including Article 11 of the Matters to be Included and Excluded in the Online Transaction Standard Form Contract for Third-Party Payment Services) or the standards and policies of Uber and its affiliates, to access and use the Services, including where:
- substantial evidence shows that you have used your account to engage in fraud, money-laundering or other illegal activities;
- your payment has been seized by a ruling/order of a court or order of a public prosecutor;
- it is verified that you have provided false identity authentication information.
您不符合或可能不符合依據適用法律(包含第三方支付服務定型化契約應記載及不得記載事項第11條)、Uber及其關聯企業標準或政策所定存取及使用本服務之資格,包含
- 有實質證據顯示您曾使用您的帳戶從事詐騙、洗錢或其他非法活動。
- 您的款項被法院裁定/命令或檢察官之命令扣押;
- 經確認您提供了不實的身分驗證資訊。
6.2.2. On 30 days' written notice to you, where Uber, acting reasonably, terminates these Terms or any Services for any legitimate business, legal or regulatory reason.
Uber得為任何正當執行業務、合法及合規之理由,以30日前之書面通知合理地終止本條款或任何本服務。
6.3. Without limiting its other rights under these Terms, Uber may immediately restrict or deactivate your access to the Services if you breach the Community Guidelines at any time.
如您違反社群指引,Uber可以隨時立即限制或撤銷您對於本服務之存取,且不構成Uber於本條款下其他權利之限制。
6.4. You may terminate these Terms at any time, for any reason through the app by going to "Settings-Privacy Settings-Delete Account". Your account will be immediately deactivated if you delete your Uber account. After 30 days, your account will be permanently deleted. Uber may retain certain information after account deletion as required or permitted by law.
您得透過應用程式中「設定-隱私設定-刪除帳戶」以任何理由隨時終止本條款。如您刪除您的Uber帳戶,您的帳戶將會被立即停用。於30日後,您的帳戶將會被永久性刪除。於帳戶刪除後,Uber得依法律之要求或許可而保留特定資訊。
7. Governing Law; Arbitration / 準據法;仲裁
7.1. There are a number of mechanisms available to you to resolve any dispute, conflict, claim or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including those relating to its validity, its construction or its enforceability (any "Dispute"). Uber or its affiliate operates a complaints process to allow you to make complaints about Uber or Third Party Transportation Providers, and Uber or its affiliate also manages refunds to you in relation to those complaints. Uber or its affiliate will operate this complaints process in a reasonable manner. In addition, you may have rights to make a complaint to fair trading or consumer law bodies in relation to applicable consumer laws, including the non-excludable portions of the Taiwan Consumer Protection Act.

本服務或本條款所生,或廣泛相關或有關之任何爭議、衝突、主張或分歧,包括關於其有效性、其解釋及其執行力(任一「爭議」),有許多可供您利用之解決機制。Uber或其關聯企業所經營之客訴程序允許您對Uber及第三方運輸提供商提出客訴,Uber或其關聯企業亦掌管關於該等客訴之退款。Uber或其關聯企業將以合理之方式管理客訴程序。此外,您可以依據適用之消費者法律對公平交易或消費者保護主管機關提出申訴,包括台灣消費者保護法規定不得排除之事項。

7.2. Except as otherwise set forth in these Terms, these Terms shall be exclusively governed by and construed in accordance with the laws of Taiwan, excluding its rules on conflicts of laws. In the event of a Dispute, either party may file an action in the courts of Taiwan or pursue final and binding arbitration or other alternative dispute resolution as agreed upon by the parties.
除本條款有另行訂定外,本條款應以台灣法為專屬之準據法及解釋,並排除法律衝突法則之適用。如發生爭議,任一方得向於台灣之法院提起訴訟,或提交終局且具拘束力之仲裁,或雙方同意之其他替代紛爭解決方式。
7.3. Any proceedings, including documents and briefs submitted by the parties, correspondence from a mediator, and correspondence, order and awards issued by an arbitrator, shall remain strictly confidential and shall not be disclosed to any third party without the express written consent from the other party unless: (i) the disclosure to the third party is reasonably required in the context of conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation set out in these Terms.
任何法律程序包括雙方提交的文件及書狀、調解員的通信、仲裁員簽發的通信、命令及裁決,應嚴格保密,未經另一方明確書面同意,不得向任何第三方揭露,除非:(i) 向該第三方揭露是執行調解或仲裁法律程序合理必需;及 (ii) 該第三方書面無條件同意接受本條款所定的保密義務約束。

8.3. General. / 一般條款。
8.3.1. You may not assign or transfer these Terms in whole or in part without Uber’s prior written approval. You give your approval to Uber for it to assign or transfer these Terms in whole or in part, including to: (i) a subsidiary or affiliate; (ii) an acquirer of Uber’s equity, business or assets; or (iii) a successor by merger. No joint venture, partnership, employment or agency relationship exists between you, Uber or any Third Party Transportation Provider as a result of the contract between you and Uber or use of the Services.
您不得在未獲 Uber 事先書面同意的情況下轉讓或轉移本條款整體或部分內容。您授權 Uber 向下列個人或實體轉讓或轉移本條款整體或部分內容:(i) 子公司或關聯企業;(ii) Uber 股權、業務或財產的受讓人;或 (iii) 併購後的繼受人。您與 Uber 之間簽訂的合約或使用本服務不會在您、Uber 或任何第三方運輸提供商之間建立任何合資、合夥、僱傭或代理關係。
8.3.2. If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity and enforceability of the other provisions in these Terms shall not be affected. In that event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms. These Terms, including any incorporated policies, constitute the entire agreement and understanding of the parties with respect to its subject matter and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding such subject matter. Nothing in this clause limits your rights as a consumer that cannot be excluded under applicable law, including the Taiwan Consumer Protection Act. In these Terms, the words "including" and "include" mean “including, but not limited to.”
若本條款的任何條款根據任何法律被整體或部分視為非法、無效或不可強制執行,該條款或相關部份應被視為不屬於本條款,本條款的餘下條文的合法性、有效性及可強制執行性應不受影響。在該情況下,雙方應根據本條款的內容及目的,盡可能以效果類似於該非法、無效或不可強制執行條文(或部分)的合法、有效及可強制執行的條文(或部分)替換該非法、無效或不可強制執行條文(或部分)。本條款,包括任何本條款所包含之政策,構成雙方有關其主題事項的完整協議及理解,並替換及取代先前或同期所有有關該主題事項的協議或承諾。本條之規定並不限制您作為消費者依適用法律所不得排除之權利,包括台灣消費者保護法。在本條款中,詞語「包括」係指「包括但不限於」。
8.3.3. Uber, Uber’s affiliates or a Third Party Provider (as defined in the Uber Cash Terms) may provide or gift non-refundable, non-transferable credits to you pursuant to Uber Cash Terms which may be amended from time to time. Your consent to be bound by these Terms constitutes your consent to be bound by the Uber Cash Terms.
Uber、Uber的關聯企業或第三方提供商 (定義於Uber Cash點數條款)可能會依據可能不時修訂的Uber Cash點數條款,提供或贈送給您不可退款、不可轉讓的點數。您同意接受本條款之拘束即表示您同意接受Uber Cash點數條款之拘束。
