Uber Eats Pro Terms and Conditions
Uber Eats Pro (the "Program") is brought to you by Portier, LLC, a Delaware limited liability company, or its respective subsidiaries, licensees and affiliated companies (collectively "Uber Eats" or "we," which is a wholly-owned subsidiary of Uber Technologies, Inc. ("Uber")). These Program Terms (defined below) constitute a legal agreement between you and Uber.
Participation in the Program is also subject to the general Japan Eats User Terms of Use, the general Privacy Policy, and your Uber Technology Services Agreement, which are incorporated herein (collectively, the "Program Terms"). By participating in this Program you are agreeing to these Program Terms.
All rewards under the program are on an "as available" basis, contingent upon requests from users for delivery services and other contingencies which may impact availability of some rewards at certain times and places.
You understand that all relevant taxes on the rewards that you accept are your sole responsibility as the rewards recipient. You also understand that Uber Eats may issue you with relevant documents indicating the approximate retail value of certain rewards for tax reporting purposes.
YOU UNDERSTAND THAT YOU ARE NOT REQUIRED TO PARTICIPATE OR ACCEPT ANY rewards, WHETHER FROM A THIRD PARTY, UBER OR ITS AFFILIATES. YOU UNDERSTAND THAT UBER EATS MAY TERMINATE OR MODIFY THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WHAT THE rewards ARE, HOW YOU EARN THEM, THE DURATION OF THE PROGRAM) AT ANY TIME IN UBER EATS'S SOLE DISCRETION.
ELIGIBILITY
In order to participate in the Program, you must (1) reside in the Japan; (2) meet all eligibility requirements to be a delivery partner as set by applicable law and Uber Eats; (3) have an Uber Eats Delivery Partner account in good standing; and (4) have set your home city within Uber Eats Delivery Partner App as one of the participating cities (each, a "Participating City"); delivery partners in Participating Cities will be automatically enrolled in the Program; Once you are registered as a Delivery Partner, there is no additional action required to participate in the Program.
Your rewards program account ("Program Account") will automatically be linked to your Uber Eats Delivery Partner account. You may not share your Program Account or have multiple memberships.
HOW YOUR TIER IS DETERMINED
You must earn points ("Points") to access the different Tiers (defined below) and the rewards in each Tier. You will earn 1 Point for every trip you complete as an Uber delivery partner in Participating Cities in Japan. Each such trip, excluding any Uber Driver Partner trips, shall count as an "Uber Eats Trip'' for the purposes of this Program. Only trips that fall under the definition of “Uber Eats Trip'' shall be counted towards the Uber Eats Pro program.
You earn Points in a fixed one month period (each a "Program Period"). Each period shall begin at 12:00:00 am at the first of the month and end at 11:59:59 pm on the last day of the month. The Program may discontinue at any time, at Uber Eats's sole discretion.
Points expire and reset to zero at the end of every Program Period. They do not carry over to the next Program Period. Points will count in the Program Period in which Uber Eats processes the point (which may be the next Program Period). You will not earn any Points for taking rides as a rider or orders you submit on Uber Eats. Points have no cash value and are used solely to determine your Program Tier. Points may be revoked if a delivery, for which Points were earned, is refunded or if Uber Eats believes, in its sole discretion, that Points were earned through or in connection with any fraud, abuse of the platform, or in violation of Uber Eats Japan User Terms of Use, Uber Technology Service Agreement or the Community Guidelines.
Tier status shall be determined by the Points earned in the previous Period or Points earned in the current Period.
PROGRAM TIERS AND WINDOWS
The Program rewards four membership Tiers: Green, Gold, Platinum, Diamond ("Tiers"). Tiers unlock access to certain rewards ("rewards") provided by Uber Eats and/or third parties. Each successive Tier includes its own rewards as well as the rewards of the preceding Tiers.
The Points you earn in one Program Period, will determine your Tier in the next Program Period. Tiers are not permanent and must be earned for every Program Period. TO REACH THE GOLD, PLATINUM AND DIAMOND TIERS, YOU MUST ALSO HAVE POINTS OUTLINED BELOW.

You can move to a higher Tier during the current Program Period if you meet the Points described above. In that case, you will automatically be moved to the next Tier and you will stay in that Tier for the current Program Period and the next Program Period. For example, if you are an active delivery partner in Tokyo and earn at least 300 Points, you will have earned the Diamond Tier for the remainder of that month and for the next month.
Once you obtain a higher Tier, you may be able to immediately access some rewards for the higher Tier, but not all rewards may be available immediately.
HOW TO VIEW POINTS BALANCES
You can view your current Points balances within the settings of your Uber Eats Delivery Partner App. Any errors or omissions on transactions posted to your Program Account should be reported within one month by contacting Uber Eats as noted in the Contact Us section below. Failure to supply necessary documentation may result in an inability to award Points. For verification, you should retain all receipts and documentation until your Points are credited to your Program Account.
In the event of an outage of the Uber Eats systems, your Points may be delayed in displaying in your Program Account. Additionally, if the outage occurs near the end of a Program Period, it is possible the Points will not be applied until the next Program Period.
ACCOUNT TERMINATION
Participation in the Program can be suspended, revoked, or terminated at any time by us for any reason. If your Program membership is terminated, all Points associated with your Program Membership and any rewards may be forfeited immediately upon termination, in accordance with the terms of the specific rewards, as detailed below. If your Program membership is terminated due to fraudulent activity or non-compliance with these Program Terms, in addition to forfeiting all Points and rewards associated with your Program Membership immediately, you cannot participate in or rejoin the Program.
PROGRAM CHANGES AND PROGRAM TERMINATION
We reserve the right to change or terminate the Program, or any part thereof, at any time without notice and without further obligations to you or any other Program Members, including, but not limited to modifications which: a) govern how Points are earned on and after the date of change; b) change the number of Points required to access a Tier; c) change the specific rewards provided in each Tier; or d) change any other requirements necessary to obtain rewards within a Tier. No Points will be earned after the effective date of termination. Any and all changes and/or amendments to these Program Terms will become binding upon all members immediately.
TRANSFER OF RIGHTS
Uber Eats’ rights and obligations under the Program may be assigned or transferred by Uber Eats to any other related or unrelated entity at any time without any consent from you or any other Program Members, and performances shall be the responsibility of that entity.
INTERPRETATION OF PROGRAM TERMS
All interpretations of these Program Terms will be at Uber Eats's sole discretion and Uber Eats's decisions will be final.
LANGUAGE
If there is any contradiction between the English and Japanese language version of the Program Terms, the English language version shall take precedence.
DISCLAIMER
The Program and/or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons outside of our control. We are not responsible for any unavailability, interruptions or errors of the Program, its features or any rewards. We may modify, suspend, or discontinue the Program or any feature at any time without notice. The Program and all the information accessible through it are provided for information purposes only on an "as is" and "as available" basis. We, our partners and third party rewards providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Program, the information, materials, content, availability, and products. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.
Rewards DETAILS AND ADDITIONAL TERMS
Rewards are privileges granted to you. Rewards are made available at the discretion of Uber Eats, may change or be canceled at any time, are not redeemable for Points and have no cash value. Reward details, terms and limitations may be found below. Rewards provided by third parties may require additional action by you, including, without limitation, agreeing to additional terms or creating an account with such third party. Delivery partners are responsible for all taxes that may be owed in the receipt of rewards. Uber Eats is not responsible, and disclaims all liability, for the products or services offered by third parties.
To ensure the success of the Program, Uber Eats may collect information on such third party rewards-based transactions for information and reporting purposes, in each case pursuant to the terms agreed to by the third party rewards provider and the Program Member

PLEASE NOTE THAT rewards FROM EXTERNAL PARTICIPATING PARTNERS, INCLUDING BUT NOT LIMITED TO THE QUALIFICATIONS FOR ACCESSING THE rewards, AS WELL AS THE IDENTITIES OF THE PARTNERS THEMSELVES, ARE SUBJECT TO CHANGE AT ANY TIME AT UBER'S DISCRETION.
